Hampden hangover

322

Let’s be clear: Dundee are in their best form in years and are more than capable of taking something from Celtic tonight.  They also have the incentive of catching Dundee United, who have collapsed since Celtic dismantled them recently.  If there is any sort of Hampden hangover, we’ll not win the game.

What I expect is the cup-tied pair of Gary Mackay-Steven and Stuart Armstrong to return to the side and give fresh impetus.  I also expect Dundee to suffer the most outrageously unfair refereeing decision seen outside of Hampden in years; proof (cough), if it was needed, that referees don’t only make mistakes against Celtic.

If Leigh Griffiths collides with Scott Brown inside the Dundee box, Celtic will be awarded a penalty.  These are our expectations of the Scottish game.

I bear no ill-feeling towards Josh Meekings. He stuck his hand up to stop a ball instinctively. I’ve done the same, a moment later you’re looking at your hand wondering, ‘Why did I do that?’ So I felt the player being suspended was a bit harsh. Then I saw him posing with his ‘trophy’ hand. Stuff him.

My only dispute with the SFA is that their rules allow retrospective action when a referee has not seen an incident. Mr McLean saw everything, but was persuaded not to act.

Have you climbed Ben Nevis?  It’s a fantastic experience.  The Foundation are taking a group there in June, and anything the Foundation do is a fantastic experience.  I know several people who have told me they’re doing this but who have not registered yet.  Your place needs to be booked with the mountain authorities well in advance.  Register here NOW!

The ball is on the penalty spot. The spot has been moved to 6 inches from the goal. The goalie is tied to the post and you are asking how it happened?

Why not start trusting that folk apply their best endeavours, things unexpected happen on the way but all that matters is the result.

I appreciate the very idea that the Board were not trying to block Res12 might be hard for some to grasp but it’s true.

How will come out in the post March analysis.

Yes that goes without saying but we are where we are and out of a final and opened a can of worms.

    Cheers

Your wrong Paul, if Leigh Griffiths collides with Scott Brown in the box, Griffiths would be booked for diving.

The MIB will do us no favours as there’s a league title at stake

  4. Haven’t read back much since Sunday.

Has anyone mentioned the play leading to Celtic’s red card? Commons with a shocking corner, Matthews (who I thought was one of our quickest players) outpaced and muscled off the ball by ICT player, only Matthews covering back in the first place and Gordon trying to win a 70-30 challenge against him knowing if he mistimed it it would be a penalty!!! That’s a lot of poor decisions by Celtic players!!

  5. I’m struggling with all this chat about ‘if we get a dodgy penalty, we should deliberately put it wide’, and how sad it is for the Caley defender to miss the cup final.

Please, get a grip. I love football the Celtic way and Lisbon was the apogee of that – it is and probably will always be my greatest football memory.

But in a competitve fixture I will take a scrappy 1-0 win against a thrilling 3-2 defeat any day of the week. I want a team of winners on the park, not a team of Corinthians, and I want to see us go for the jugular at every opportunity.

As for the Inverness defender, tough. His arm movement may have been an automatic reaction but he raised his hand towards the ball. He’s had publicity pics taken showing ‘the hand that put Caley in the final’. Their club tweeted live about him being ‘in nets’ and making ‘a great save’. They know they got away with one. It isn’t funny, and I don’t feel sorry for the guy.

And as has been noted elsewhere, if the officials had done their job and given the penalty, he would have been sent off and out of the final anyway.

No sympathy, Celtic. Batter every opponent at every opportunity from now till the end of the season. We can be Mr Nice Guy after we’ve won, but first we need to win.

    Looking forward to tonight now.

    Brogan Rogan:

KIT — ANSWERS TO YOUR QUESTIONS BELOW IN BOCK CAPITALS:

Please correct me if I’m wrong because like a lot of others I don’t speak ‘lawyer speak’ and I am totally confused as to the status of Resolution 12.

So am I correct in thinking/saying that the Celtic PLC are not actively working on Resolution 12, in fact, Celtic PLC has hung Resolution 12 in the ‘limbo for a very long stay, possibly forever’ closet, because for just whatever reason?

NO YOU ARE COPMPLETELY INCORRECT AND MISINFORMED. THE BOARD OF CELTIC PLC, AND THE COMPANY SECRETARY (WHO GUIDES THE CLUB ON COMPANY LAW AND OTHER LEGAL AND REGULATORY MATTERS) IN PARTICULAR, ARE AND HAVE BEEN WORKING ON RES 12 THROUGHOUT.

THE RESOLUTION HAS NEVER BEEN “HUNG OUT TO DRY” NOR “BEEN IN LIMBO”. IT IS IN A LEGAL POSITION THAT IS FORMALLY RECORDED IN THE RECORDS AND MINUTES OF CELTIC PLC AND ALWAYS HAS BEEN FROM DAY ONE.

Was this a result of the Resolution 12 being withdrawn and by withdrawing it was that – in company law – the end of it?

RES 12 HAS NEVER BEEN WITHDRAWN AND ANY REPORTS THAT IT WAS AT ANY TIME ARE FACTUALLY AND LEGALLY INCORRECT. THE RESOLUTION HAS BEEN ADJOURNED TWICE AT SUCCESSIVE AGM’S. THAT MEANS THAT IT IS STILL LEGALLY AND TECHNICALLY BEFORE THE MEETING OF THE SHAREEHOLDERS AND WILL HAVE TO BE CONSIDERED AGAIN AT THE NEXT MEETING OF SHAREHOLDERS UNLESS WITHDRAWN. IF IT IS NOT WITHDRAWN IT WILL HAVE TO BE VOTED ON.

IN THE INTERIM THE REQUISISTIONERS CAN SEEK TO AMEND THE WORDING OF IT IF CIRCUMSTANCES DICTATE THERE SHOULD BE AN AMENDMENT.

In withdrawing Resolution 12 did that kill it as far as the ‘PLC’ was concerned (legally) or is Resolution 12 a Timmy zombie?

SEE ABOVE IT HAS NEVE BEEN WITHDRAWN AND IT REMAINS A FORMLLY LEGAL MATTER, GOVERNED BY COMPANY LAW AND THE MEMO AND ARTICLES OF THE COMPANY, FOR THE PLC AS A WHOLE AND FOR THE BOARD IN PARTICULAR TO DEAL WITH.

Was Resolution 12 raised again at a following AGM and brought out of ‘limbo’?

AS EXPLAINED ABOVE IT WAS NEVER IN LIMBO AND WAS BEING WORKED ON THROUGHOUT. AT THE 2014 AGM THE REQUISITIONERS FORMALLY REQUESTED THAT IT BE ADJOURNED AGAIN. AGREEMENT WAS REACHED WITH THE BOARD AND THOSE CONTROLLING THE BLOCK VOTE THAT THIS SHOULD BE THE CASE AND A JOINT STATEMENT WAS READ OUT BY THE CHAIRMAN AT THE REQUEST OF THE REQUISITIONERS . THE STATEMENT POINTED TO THE PROGRESS BEING MADE, THE PROFESSIONAL ENQUIRIES, INVESTIGATION AND WORK THAT WAS BEING UNDERTAKEN IN THE NAME OF THE RESOLUTION AND THE WILLINGNESS OF THE BOARD TO SEE THE PROCESS THROUGH.

Is it just a collective of individuals, who are shareholders, acting as the original group of signatories to the resolution as a whole/ or a select few of the original signatories who are pursuing the aims of the withdrawn Resolution 12:

    (1) In conjunction with Celtic PLC

    (2) Not in conjunction with Celtic PLC

    (3) Not in conjunction with Celtic PLC but with the covert assistance and guidance of Celtic PLC

    (4) Not in conjunction with Celtic PLC but the board reserve the right to be sleekit and Machiavellian whilst others do all the digging at their expense.

    (5) Not in conjunction with Celtic PLC and explicitly against the wishes of Celtic PLC.

THERE ARE A GROUP OF PEOPLE REPRESENTING THE REQUISITIONERS PURSUING THE AIMS OF THE RESOLUTION AND THEY HAVE SECURED THE SERVICES OF PROFESSIONAL ADVISERS INDEPENDENT TO THE BOARD OR ANYONE IN THE SERVICE OR EMPLOY OF CELTIC PLC.

THE BOARD HAVE UNDERTAKEN TO FOLLOW THROUGH THE AIMS AND INTENTIONS OF THE RESOLUTION AND HAVE MET WITH THE SHAREHOLDERS REPRESENTATIVES ON NUMEROUS OCCASIONS AND HAVE BEEN MOST HELPFUL IN FINDING A WAY THROUGH TO THE SFA IN TERMS OF MAKING ENQUIRIES, ASKING QUESTIONS, AND ELUCIDATING ANSWERS.

THE BOARD HAVE ENCOURAGED THE SHAREHOLDERS TO FOLLOW THROUGH THEIR ENQUIRIES AND HAVE STATED THEY WILL SUPPORT AND FOLLOW THROUGH ANY INFORMATION BROUGHT TO THEIR ATTENTION OF WHICH THEY WERE UNAWARE OR WHICH HAS A BARING IN THE ISSUES RAISED.

IN PURSUING THIS THE SHAREHOLDERS AND THE BOARD ARE AT ONE.

HOWEVER, THE LEGAL PSOITION IS THAT THE BOARD HAS BEFORE IT A RESOLUTION FROM SHAREHOLDERS THAT SEEKS CERTAIN ENQUIRIES BE MADE BY THE BOARD ON BEHALF OF SHAREHOLDERS AS A WHOLE. AS STATED PREVIOUSLY THE BOARD HAD ORIGINALLY SAID THE RESOLUTION WAS UNECESSARY BECAUSE THE BOARD HAD ALREADY MADE SIMILAR ENQUIRIES – WHICH THEY HAD.

HOWEVER, THERE WERE OTHER ENQUIRIES TO MAKE AND OTHER MATTERS TO EXAMINE WHICH THE RESOLUTION BROUGHT TO THE ATTENTION OF THE BOARD ITSELF. THE BOARD, HAVING EXAMINED SOME OF THIS AT THE TIME, AGREED THAT THOSE ENQUIRIES SHOULD BE SO MADE AND HAVE BEEN KEEN TO SEE THAT THROUGH.

LEGALLY THEY HAVE TO ACT ON BEHALF OF SHAREHOLDERS AND THUS FAR THOSE WHO HAVE REPRESENTED THE REQUISITIONERS HAVE PERSUADED THE HOLDERS OF THE “BLOCK” VOTE TO ABANDON ANY OPPOSITION TO THE STATED AIMS OF RES 12 AND POSSIBLY, JUST POSSIBLY, TO CHANGE STANCE AND SUPPORT THE RESOLUTION FORMALLY.

FOR THE LAST TWO YEARS THEY HAVE BEEN SEEN TO SUPPORT THE RESOLUTION IN PRACTICE IF NOT THROUGH THE FORMAL MINUTES OF THE AGM.

THEY ARE SATISFIED THAT THERE IS A CASE TO PRESENT AND A CASE TO ANSWER. THEY HAVE AN INPUT INTO THAT CASE BUT DO NOT SOLELY OWN ITS DIRECTION OR STRATEGY. THUS FAR THE DIRECTION AND STRATEGY HAVE BEEN AGREED THROUGHOUT.

The Boards Response to Res 12:

The Board is committed to protecting and promoting the interests of the Company, having regard to, among other things, the principles of fairness and sporting integrity.

Having regard to those interests and principles, the Board monitored the developing situation at Rangers Football Club carefully. The Company maintained a consistent position that the circumstances should be considered by the football authorities and the matter dealt with fairly and proportionately. This position was made clear to the football authorities, including the Scottish FA.

NO MATTER HOW CELTIC OR ANYONE ELSE ATTEMPTED TO MONITOR THE SITUATION AT RANGERS AT THE TIME, THERE IS NO POSSIBILITY WHATSOEVER OF HAVING BEEN ABLE TO FULLY KEEP TRACK OF EVENTS INSIDE OR CLOSE TO IBROX IN REAL TIME AND AT THE TIME.

TO THIS DAY THERE ARE KNOWN UNKNOWNS AND SUSPECTED UNKNOWN UNKNOWNS. HOWEVER MUCH MORE IS NOW KNOWN FOR DEFINITE AND FORMS PART OF THE RESOLUTION 12 JOURNEY.

The Company received assurances from the Scottish FA regarding the Club Licensing process for Season 2011/12 at the time. The Board considers that it took appropriate steps to protect the interests of the Company.

NO. THE ASSURANCES AND EXPLANATIONS GIVEN WERE MADE AFTER THE GRANTING OF THE LICENCE IN MARCH 2011. THE BOARD, ACTING ON ITS OWN INITIATIVE, CHALLENGED CERTAIN DECISIONS AND PROCESSES LATER AND WERE GIVEN RESPONSES.

THOSE RESPONSES HAVE SINCE – AND I EMPHASISE THE WORD SINCE – PROVEN UNSATISFACTORY IN LIGHT OF FURTHER CONSIDERATION OF THE THEN FOOTBALL RULES AND INFORMATION THAT HAS COME TO LIGHT AND BEEN BROUGHT TO THE BOARD’S ATTENTION.

THE BOARD’S INITIAL VIEW OF WHAT WAS APPROPRIATE WAS AND HAS BEEN CHANGED BY THE RESOLUTION.

The Board will continue to take steps to protect and promote the interests of the Company. The Company participated in the restructuring of Scottish football and will continue to monitor the development and effectiveness of governance systems.

TO MY KNOWLEDGE THAT CONTINUES TO BE THE CASE.

The Board remains committed to a strategy that promotes and protects the interests of the Company and does not rely on any other club. That stand alone strategy has been successful, as demonstrated by the robust results for the year to June 2013 and encouraging start to the current year.

In the circumstances the Board considers the resolution to be unnecessary and recommends that you vote against it.

    The Celtic Trusts response:

Proposal 12 was withdrawn by the proposers, who were not the Celtic Trust, as some out there appear to think. We supported the motion and allowed the proposers to use our experience and expertise to bring it to the table but – we were as surprised as most – of those present when it was withdrawn. It would appear that a deal had been struck to refer this matter to another time and place. We will await further developments but not whilst holding our breath.

WITH ALL DUE RESPECT TO THE CELTIC TRUST THE “PROPOSAL” WAS NOT WITHDRAWN AND NEVER HAS BEEN AS EXPLAINED ABOVE. PRESUMABLY WHOEVER MADE THAT STATEMENT HAS LEARNED TO HOLD THEIR BREATH AS AT THE NEXT AGM THEY TOO SOUGHT THAT A RESOLUTION BE FORMALLY ADJOURNED AS PRESUMABLY THEY SAW THE LEGAL SIGNIFICANCE OF THE TACTIC.

IF MEMORY SERVES ME CORRECTLY THEY DID INDEED ADJOURN A RESOLUTION.

I think Celtic Supporters, whether they are shareholders or not, whether they are season ticket holders or not, should be allowed to ask valid questions about their own concerns for the future wellbeing of their club and never, ever, talked down to, or be taken for granted, by the PLC, or any agent of the PLC,.

SINCE RESOLUTION 12 WAS TABLED THE SLO HAS BEEN INTRODUCED FOR FANS TO MAKE ENQUIRIES OF IN RELATION TO ANY MATTER.

ANY SHAREHOLDER CAN MAKE AN ENQUIRY OF A BOARD MEMBER, THE BOARD AS A COLLECTIVE, THE COMPANY SECRETARY OR ANY OTHER OFFICER OF THE COMPANY. THOSE RUNNING THE COMPANY SHOULD RESPOND TO ANY SHAREHOLDER ENQUIRY.

I AM NOT SURE THAT AN AGENT OF THE PLC WOULD BE OBLIGED TO ANSWER ANY ENQUIRY WITHOUT PERMISSION AND APPROVAL OF THE BOARD AS AN AGENT IS NORMALLY EMPLOYED AND OWES A DUTY OF CARE TO THE BOARD.

I CERTAINLY AGREE THAT NO ONE MAKING ENQUIRIES OF THE COMPANY OR ANYONE ESLE FOR THAT MATTER SHOULD BE TALKED DOWN TO OR AT.

That would be conducive of the Celtic way.

DON’T KNOW IF THAT ANSWERS EVERYTHING OR ANYTHING RIGHT ENOUGH BUT IT IS THE BEST I CAN DO FOR THE MOMENT WITHIN THIS FORUM.
