Apologies for preaching to the converted, but it has been so many weeks since we heard Rangers recovery stories, all of which lauded in the press, none of which worth as much as the £1 the club was bought for 11 months ago.

Duff and Phelps delighted that Ticketus judged to be a creditor [but whisper it, Rangers (IA) cannot set their deal aside]. Can you believe this was portrayed as good news for Rangers? Really?
All along the one man everyone needs has been vilified. Attitudes have hardened as Rangers best chance of coming through these times intact – doing a deal with Our Hero – has been made politically impossible.
Bill Ng’s opportunistic attempt to gain control of a cheap football franchise has ended with a few fascinating comments:
“We have serious concerns over the deliverability of the shares on offer”.
Have any of you offered Mr Ng a controlling block of Rangers shares? Unless you’re chilling in Monaco right now I doubt you have the authority. I think I’ll try to sell the Singaporean investor the Eiffel Tower. I don’t own it, but you get the picture. Ng also added:
“We would like to highlight that we have become increasingly uncomfortable and frustrated with the process dealing with Duff and Phelps, and the length of time that it has taken to reach this stage.”
Duff and Phelps are attempting to sell a metaphorical Eiffel Tower without owning it. Only Craig Whyte can sell Rangers, only Craig Whyte can release security to Ibrox and he will want tens of millions to do so. Unless a bidder is prepared to cover Whyte’s position all he is doing is wasting time. The administrators’ comment that Rangers major shareholder was “irrelevant” is perhaps the most damaging thought in 140 years of Rangers history.
Whyte is, as you know, the only show in town. Had Duff and Phelps made this clear to begin with, the recovery would have started weeks ago.

So let us look at what he has said.
He will setup incubator company and transfer assets to that.
He then says old company will go through CVA process and once that is complete the assets transferred back and merged to retain history etc.
Now that means the incubator company will hold assets but no SPL share or SFA membership as that stays with old company (hence the requirement for the merge to get history back) but will have a stadium and the actual club.
So where does he plan on playing next year with Incubator United?

Between them they have played a blinder and actually deflected the flak away from Whyte as he is now percieved as an idiot with no influence.

So Millers plan is to start NewCo with all Rangers playing and stadium assets, I assume have the rules bent so that Rangers can pass their SPL share onto NewCo. Arrange a 1p in the pound CVA for Rangers and once that’s cleared merge the two back into one.
I can see that working.

So you buy the shares from Craig Whyte without actually talking to him. And you ignore Ticketus entirely because they are part of the problem.
Then you take all of the assets from RFC PLC (ia) and put them into another company, which leaves the original company with nothing. The new company now has assets but no league to play in. The creditors of the old company then agree to a CVA which will presumably give them nothing, or rather a share of nothing. And then you merge the two companies.
What can possibly go wrong? The guy is a business genius.

There is a lot of information from Bill Miller and most if not all of it is ridiculous in the extreme but this part reads to me that he does not understand how the ownership of companies works and who can sell shares:
Once the CVA process has been completed and the patient is on the mend, the administrators will return Rangers Football Club plc to me for a nominal sum. The healthy heart and the healthy patient (The Rangers Football Club plc) will then be reunited through merger.
Oh and all this without speaking to the man who owns the majority of shares.

My offer is contingent upon the regulatory bodies agreeing the club will begin play in the 2012/13 season in the SPL and that they will do so without any loss of points and with all historic titles intact. I will not acquire the club unless I receive written assurances of that.

Over the last many months I have been educated by this site (& other blogs tbf) on the highways & byways of corporate finance, administration & share dealing to such an extent that I have understood many of the more knowledgeable contriutions made on those topics.
However…
I now need to admit my education is incomplete. Bill’s remedy to me is off the radar of my understanding. Am I a poor imbecile lacking awareness?
