Prospectus sums, tax relief and Teenage Cancer

I’ve had an initial read through the prospectus for yet another Newco, this time Rangers International Football Club plc, which “was incorporated with the intention of acquiring RFCL upon Admission in order to allow an investment in the Company to qualify for VCT and EIS tax relief”.

There can be no qualms from HMRC that anything has been hidden from them this time, incorporated to allow an investment to qualify for tax relief.  RFCL (Rangers Football Club Limited) is not eligible for VCT and EIS tax relief, so the incorporation of a new company was necessary.  HMRC provisions require VCT and EIS schemes to be used for genuine trading purposes, not as part of a tax avoidance scheme, so I’m sure the Newco’s lawyers have got all their details correct.

On the subject of getting details correct, the prospectus notes there are 33,415, 200 RFCL shares in issue.  It then goes on to list the shareholdings of entities which own over 3% of the company, and lists 36,385,200 shares in this category.  Shares held by entities with less than 3% of the company’s shares, such as the £700k-basic-per-annum-Ramsdens-Cup-flop McCoist, are on top of this 36million.

The prospectus also notes that if the issue is fully subscribed the new shareholders will own 63.3% of shares, not the 53.6% my calculator suggests (existing shares: 33.4152m, placing: 24.242875m, offer: 14.285714m).

Charlie Green is paying £2.5m for this issue, perhaps the cost of a calculator would have blown the budget.

Most curiously of all, the identity of those behind Blue Pitch Holdings, remains undeclared.

As you should know by now, the year ahead is an enormous one for the club.  Many among the support, and at the club, want to use our 125th year to reaffirm why we are more than just a football club – we are a humanitarian phenomenon.

    I noticed a couple of comments that mentioned that SPL clubs would get money because Celtic had made the knockout stages (Great news IMO). If that is the case, will SPL clubs continue to get money the further Celtic go in the competition?

     

     

    I hope this is the case and I hope it will negate the disgraceful refereeing performances through pressure from the SPL Clubs.

    Aberdeen’s Ryan Fraser knocked back the contract offer from AFC. Fair enough. I doubt they can afford his worth. Sadly I hear he’s considering The Rangers as a next move.

     

     

    Lenny should consider him as he’d be perfect alternative to James F.

    The media tell the plebs what they think they want to hear, swalex and Jose have a mutual respect, swalex and the arsen man I honestly have no idea, and honestly couldn’t give a toss about.

     

     

    When Lenny got the Celtic gig, I posted that we would lose him due to his endevours in the euro arena, I said that we would win the league in his first season in charge, and he would go on to euro glory, well, I was a season out, I never factored in the cheats with the whistles, and as I am one of their biggest critics, that pashes me off, big time.

     

     

    he has risen up the managerial ladder this season, he is wanted, quite rightly so, and we will do well to hold on to him.

     

     

    Much of his success is down to the scouts, and I would be worried that if Lenny goes, he will take JP with him.

     

     

    But, whatever, that hopefully will be well into the future, and as it’a always said a week is a long time in politics :>)))))

    Clean out required at the sfa before equality can be operated.

    Lenny has created a decent system and incredible culture, ethos and togetherness in the team. If we were to lose key players ( Fraser , Hooper. , Wanyama) I believe there are cheaper alternatives who would ensure the system and team continue to perform.

     

    .. Obviously I’d rather keep the winning formula but I’m not afraid of losing any player. I’d worry if we lost Lenny tho..!!

    All I want to do, like every other mug, is not to throw away my money as quick as others do.

     

     

    I try as best I can, I obviously realise that every game has three outcomes, the bookie has the advantage right away.

     

     

    That’s why I suggested the draws thng a couple of years ago, and I know what you said about the double up thing, but it works if you are commited, and don’t gamble, cut your losses if needs be.

     

     

    I know the bookies will win at the end of the day, but please FFs, give me a chance, I haven’t lost my pot for many years, I have managed to buy pressies for the wife and kids, all thanks to luck as you will tell me, not a bother.

     

     

    The huns were well odds on yesterday, the Celtic were well odds on yesterday, many punters would have made a bob or two, me, never bet on Celtic pre match, but in play I do, I have a place here, all bought and paid for, no bills, apart from the every day things obviously, and it has been bought with the thanks to the bookies, obviously with a little insight that maybes I shouldn’t have had, and I hark back to my mate, who had the shop, all he wanted to know who wouldn’t win.

    Davie Moyes is an excellent manager and has never forgotten his roots and still helps the grass roots of the Clubs he has been at but next MU manager?

     

     

    I really doubt that, I don’t think he is that good. ;) Neil is though and is way ahead of the curve. I’m just glad that the whole Establishment in Scotland made sure that Neil is unlikely to ever leave Celtic because of the bond that has been forged over the last couple of years.

    I was very happy reading SPL Clubs getting money as Celtic progressed. The SFA is The Rangers so it is not good if what you say is correct.

    Imran Ahmed made t’rankers a £200K loan…..he charged the club a 50K fee for the loan and got his money back out in less than 6 months.

     

    Where else could this happen?

    Never mind his goals just the sight of Sami eagerly waiting to get on the park on Saturday and to see him urging the others on is something that confirms Neil Lennon’s courage in standing by him has been well rewarded.

     

     

    This season’s champion’s league campaign has bonded the team together in a way they weren’t earlier this year and who knows where it’ll lead us.

  22. For me, the last two performances have been Celtic’s best this season, for very different reasons.

     

     

    My heart sank when I looked at Sat’s line-up, believing it to be yet another doomed 4-4-2 ‘what the hell’ job. Watching the way our players dominated the game you’d have to hope we see more of that 3-5-2.

     

     

    Brown was absoloutely outstanding – the hustling approach we’ve come to expect from him was allied to some crisp, accurate passing – if he played half as well every week he’d be world class. Matthews seems to relish this set-up, where so much onus is placed on the wingbacks to get forward, while the strategy at the back suits Mulgrew down to the ground, in a role where he can combine his defensive qualities with his attacking instincts and eye for a pass, all anchored by Wilson’s no-nonsense style in the middle.

     

     

    Hopefully we’ll see more of 3-5-2 this season – the players looked like very comfortable and played with real purpose.
