Prospectus sums, tax relief and Teenage Cancer

I’ve had an initial read through the prospectus for yet another Newco, this time Rangers International Football Club plc, which “was incorporated with the intention of acquiring RFCL upon Admission in order to allow an investment in the Company to qualify for VCT and EIS tax relief”.

There can be no qualms from HMRC that anything has been hidden from them this time, incorporated to allow an investment to qualify for tax relief.  RFCL (Rangers Football Club Limited) is not eligible for VCT and EIS tax relief, so the incorporation of a new company was necessary.  HMRC provisions require VCT and EIS schemes to be used for genuine trading purposes, not as part of a tax avoidance scheme, so I’m sure the Newco’s lawyers have got all their details correct.

On the subject of getting details correct, the prospectus notes there are 33,415, 200 RFCL shares in issue.  It then goes on to list the shareholdings of entities which own over 3% of the company, and lists 36,385,200 shares in this category.  Shares held by entities with less than 3% of the company’s shares, such as the £700k-basic-per-annum-Ramsdens-Cup-flop McCoist, are on top of this 36million.

The prospectus also notes that if the issue is fully subscribed the new shareholders will own 63.3% of shares, not the 53.6% my calculator suggests (existing shares: 33.4152m, placing: 24.242875m, offer: 14.285714m).

Charlie Green is paying £2.5m for this issue, perhaps the cost of a calculator would have blown the budget.

Most curiously of all, the identity of those behind Blue Pitch Holdings, remains undeclared.

As you should know by now, the year ahead is an enormous one for the club.  Many among the support, and at the club, want to use our 125th year to reaffirm why we are more than just a football club – we are a humanitarian phenomenon.

  10. Neil Lennon’s side will be hoping to conquer The Red Lichties once and for all on Wednesday night after a disappointing draw inside the less than atmospheric Celtic Park a fortnight ago.

     

     

    The original tie resulted in a chorus of boos and jeers from the small Celtic support who bothered to show up, after a late Steven Dorris free-kick deflected off the foot of fresh Celtic substitute, Lassad Nouioui.

     

     

    Celtic’s team was one filled with experience along with a few of the younger squad members, most notably being Joe Chalmers who impressed on his first start.

     

     

    No excuses can be made for the abysmal performance at home, with both Lennon and the players now wanting to rectify their failings in the first contest against Arbroath.

     

     

    Paul Sheerin’s team were held to a 2-2 draw last weekend by Stenhousmuir as Stewart Kean netted an injury-time equaliser for the away side whilst Georgios Samaras completed a 3-1 rout of Kilmarnock in Ayrshire earlier that day.

     

     

    An attendance of 647 will undoubtedly be increased come mid-week when Celtic bring a 2,500 strong travelling support to the town of Arbroath hoping to be entertained following on from a rare SPL victory off the back of a European outing.

     

     

    If Celtic indeed manage to conquer the mighty Arbroath, an away tie against Raith Rovers will further stand in the way of Lennon’s quest to reach the Scottish Cup Final.

     

     

    The team I would place full confidence in come Wednesday would be similar to the side who bulldozed past Kilmarnock at the weekend whilst continuing the reinvigorated 3-5-2 formation not seen since the days of Martin O’Neill, being, in my view:

     

     

    Forster; Ambrose, Wilson, Mulgrew; Matthews, Kayal, Wanyama, Ledley, Emilio; Lassad, Hooper.

     

     

    Of course, both Georgios Samaras and Scott Brown will be in contention for a starting spot after starring roles in the 3-1 victory at Rugby Park last Saturday, but Brown especially is in need of a rest after his recent energetic displays, and Samaras will be more than capable to change the course of events – if need be.

     

     

    Celtic have played Arbroath a total of thirty-three times, with only two not resulting in a victory for ourselves. The solitary win for Arbroath came some seventy-five years ago, a feat their current squad almost replicated two weeks ago against a makeshift Celtic starting XI. The Smokies’ only other draw came in 1975, with their most recent – and most famous – coming on December 1st, 2012.

     

     

    The most famous matchup between the two sides came in 1993, a 9-1 victory for Celtic – and also Arbroath’s worst ever defeat. A goal from Charlie Nicholas set Liam Brady’s side rolling, giving Frank McAvennie and Andy Payton (yes, seriously!) the opportunity to bag a hat-trick each. Pat McGinlay and Mark McNally contributed to the goal-scoring feast as Danny McGrain’s collapses side concluded their embarrassing display.

     

     

    A strong team is needed for what will be a tough, resilient Arbroath side who cannot be taken lightly.

     

     

    As Barcelona found out on November 7th, favourites do not always win, and Wednesday night will be no different. The comparisons are unquestionably similar between Celtic’s triumphant win against the Catalonian outfit and Arbroath’s pursuit of victory against the SPL’s sole Champions League ambassadors – Celtic.

     

     

    On paper, Celtic should be able to stroll past the third tier side, however, as every Celtic fan now knows, games are won on the day. Lennon’s side have to turn up with the correct attitude, hunger and desire to progress.

     

     

    So, what lies ahead for Celtic remains to be seen, and if a few players decide to have another off-day, Arbroath will, for sure, take advantage of any mishaps. Progression is a must.

    A wee bit worried about the Scottish Cup Tie, read a quote from Neil re preparation for next years Champions League qualifiers, in essence what he said was that once the league was won (!) he planned to let the first teamers go off on holiday because he would be bringing them back early in order to prepare for the CL qualifying rounds, the only problem with that he said was if we were to be playing in the Scottish Cup Final, which would mean he would have to retain all the first teamers right up until the end of the season. That’s more or less a direct quote and I think it will have a negative impact on our players Scottish Cup motivation.
