Prospectus sums, tax relief and Teenage Cancer

I’ve had an initial read through the prospectus for yet another Newco, this time Rangers International Football Club plc, which “was incorporated with the intention of acquiring RFCL upon Admission in order to allow an investment in the Company to qualify for VCT and EIS tax relief”.

There can be no qualms from HMRC that anything has been hidden from them this time, incorporated to allow an investment to qualify for tax relief.  RFCL (Rangers Football Club Limited) is not eligible for VCT and EIS tax relief, so the incorporation of a new company was necessary.  HMRC provisions require VCT and EIS schemes to be used for genuine trading purposes, not as part of a tax avoidance scheme, so I’m sure the Newco’s lawyers have got all their details correct.

On the subject of getting details correct, the prospectus notes there are 33,415, 200 RFCL shares in issue.  It then goes on to list the shareholdings of entities which own over 3% of the company, and lists 36,385,200 shares in this category.  Shares held by entities with less than 3% of the company’s shares, such as the £700k-basic-per-annum-Ramsdens-Cup-flop McCoist, are on top of this 36million.

The prospectus also notes that if the issue is fully subscribed the new shareholders will own 63.3% of shares, not the 53.6% my calculator suggests (existing shares: 33.4152m, placing: 24.242875m, offer: 14.285714m).

Charlie Green is paying £2.5m for this issue, perhaps the cost of a calculator would have blown the budget.

Most curiously of all, the identity of those behind Blue Pitch Holdings, remains undeclared.

As you should know by now, the year ahead is an enormous one for the club.  Many among the support, and at the club, want to use our 125th year to reaffirm why we are more than just a football club – we are a humanitarian phenomenon.

You are going to hear a lot about this over the next 12 months but this week you, me and everyone else are called to assist Teenage Cancer Trust and Celtic Charity by supporting a totally unique opportunity.

He’s also a genuine, bleed-green fan with Celtic in his heart.

    Of course we expect the good old BBC to fix this.

     

    St Mirren v St Johnstone is worth watching. John McGinn looks a good player but how Frazer Wright avoided a red card is a mystery!

    Anti-Liquidation Demo On Saturday!

     

     

    On Saturday versus St Mirren 50,000 Bears will show that Rangers will not die by giving a red card to the threat of liquidation.

     

     

    At kick off and in the 18th and 72nd minutes – 1872! – raise your red card and voice your determination not to support anyone who is trying to drag the club down into liquidation.

     

     

    On Monday evening a meeting took place in Glasgow with host of fan groups to discuss the Bears fight-back against those who seek to do the club down.

     

     

    Rangers Football Club have survived the good and the bad for 140 years , the vast majority being very successful for a club now known to be the most successful club in world football. Its more than just a club, it’s a way of life for far too many people the world over to simply give it up to faceless money men with no love nor interest in this famous fitbaw club.

     

     

    It was agreed unanimously that we The Rangers support would fight tooth and nail against anyone or group who seek to liquidate the Gers.

     

     

    The message is simple, sink us and we will sink you !

     

     

    You won’t simply reform a newco and everything’s bright and rosy, not a chance in hell. The Rangers fan base united won’t allow it, no fans, no players, no sponsor. NOTHING

     

     

    This Saturday we have arranged to allow every fan in Ibrox to show the administrators and any would-be liquidators the “red card”. 50,000 red cards will form part of display in protest at the enemy intent on finishing off The Rangers as we know it. Message banners and red cards will make our feelings clear as day, you are not welcome.

     

     

    The display is NOT in favour of any individual bid/bidders, we simply welcome anyone with Rangers best interest at heart.

  12. for what its worth i think we will lose no more than 2 star players this january, most likely hooper and victor. its possible some fringe players will move on i.e. paddy, miku

     

     

    we will be very richly rewarded for the star players that leave and we will be able to sign up a couple of quality young players, with our most recent european run and sales helping to convince, celtic can be a good career move

     

     

    think its a little silly to talk about holding onto players and building a team when we already know that the club plan to bring them in cheap and sell them on again for a higher level.

     

     

    i think it makes good sense so long as we keep a good core to the team hence, we should always have a few players who are good enough to stay in the celtic team over a number of years while others come and go.

    Invest your money in a Company which at this point in time owns nothing and has no assets of any description; RIFCPLC, which has a long history which dates back to when the Company was Founded as RFPLC, in November 2012.

     

     

    If the IPO is successful, RIFCPLC, will buy the Football Club formerly known as The Rangers Football Club Ltd, formerly known as, Sevco Scotland Ltd, formerly known as Sevco 5088, which were the assets acquired after The Rangers Football Club Ltd, formerly known as The Rangers Group Ltd, formerly known as Wavetower went into liquidation.
