SFA must charge those responsible for bringing the game into disrepute

Let’s be clear from the off, Craig Whyte is not your friend. He was not the man who “murdered” Rangers any more than Alasdair Johnston, his accuser, who was paid to ensure the club was run in an appropriate manner in the years prior to its crash into liquidation.

If Whyte has your job, your pension or your wellbeing in his hands, you would likely fair no better than those who have had the misfortune to be vulnerable to his exploitative nature before. He is the worst manifestation of our corporate system.

As yesterday’s verdict at Glasgow High Court established, he was merely a collaborative player in the drama which saw Murray Group shed its liabilities to Rangers fans into an all-too certain, and limited, future.

The SFA were right to quickly fine and sine die Whyte, despite the fact that he has no inclination to become involved in football again. What the Association must now do is examine the role of those who had explicit and executive oversight responsibility of managing Rangers through the process of its decline and sale to a character with a lengthy corporate irresponsibility charge sheet.

Whyte was not in any way a bad choice for the job required at Rangers. For those with most to gain, he was the perfect choice. He was, in fact, the only choice, if the desired result was to be delivered – and it was.

No one else would have had the stomach to pick up a corporate basket case, manoeuvring bank debt, securitising years of ticket sales, brazingly stiffing public service funding, and in doing so, freeing Murray Group from a disabling liability.

What do I care? I predicted, then watched, Rangers inevitable crash into administration and liquidation. Patience and thick skin was all that was required through the years of bravado from Ibrox. Those who shouted down the glaringly obvious in support of these charlatans have been shown up as malleable accomplices.

There is one outstanding matter I do care about. In my opinion, Sir David Murray did not discharge his duties as the ultimate controlling director of Rangers FC in a responsible manner. If there is one issue which every Scottish football fan can unite on, it is surely this.

The deplorable sequence of events at that club, from it’s exploitation of the Employee Benefit Trust scheme to pay millionaires tax free sums through a system which was designed to allow employers to aid staff through periods of hardship.

To its submissions to the SFA on taxable overdue. To the shredding of correspondence, and failure to disclose other correspondence.

Rangers were a huge influence on our game; on the SFA, the SPL, the media, and more. The executives concerned had placemen who protected them. The SFA must now charge those responsible for bringing the game into disrepute.

More sine die punishments would mean little to men who are already finished with the game, but it would be a hugely significant act of faith towards the paying public, of all colours.  It is time for us all to unite against the men who really did sell the jerseys.

    It was a strange business and never clear exactly what Stevenson’s motivation was when the leaks began. The fact that he was in Bermuda added another layer of intrigue to the whole business.

     

    He claimed to have acquired access legally but I know that very quickly after not getting the exposure he thought he would he was in regular contact with Whyte. Perhaps that was always the plan, perhaps Whyte thought he could turn it to his advantage, I’m not sure.

     

    The fact that King spotted an opportunity to turn it to his advantage is of no surprise though.

    Since the press are unable or unwilling to do so, let’s pull together what we know about Mr Whyte:

     

    1. The son of the owner of a plant-hire firm, Whyte reportedly racked up his first company failure at the age of 20. Afterwards he stated: “You might say it was a valuable experience.”

     

    2. By his mid-20s Whyte was in charge of security firm Vital UK Ltd, based in Dennistoun, Glasgow. It collapsed in 1996 with debts of around £750,000.

     

    3. Three years later a connected firm, Vital Holdings, also went bust – with angry employees lodging an action at the High Court in London in an attempt to win back unpaid wages. There were reports of a £3.5million debt to a single creditor and unpaid tax bills.

     

    4. By late 1999 was operating as Head of Corporate Finance for a Swiss-registered company, First Capital Securities SA. In October of that year the Central Bank of Ireland published a warning notice in the Irish press to advise members of the public that First Capital Securities SA had been offering investment business services to members of the public when it was not authorised to do so.

     

    5. A month later First Capital was involved in a £6m takeover bid for an English engineering firm, Focus Dynamics. This sparked an official probe by the Takeover Panel’s Executive, who later issued a public censure to the directors of Corporate Resolve Ltd.

     

    It was stated that the finance for the cash offer was “being arranged through First Capital Securities SA, a Swiss company appointed by Corporate Resolve as their financial adviser in Europe”. But in their official report, published in 2001, the Takeover Panel said it had not been satisfied at the time that funds would be available to satisfy Corporate Resolve’s cash offer in full.

     

    The document said: “Craig Whyte, Head of Corporate Finance at First Capital, explained to the Executive that the cash would be sourced from discretionary clients of First Capital. Mr Whyte was not, however, able to establish to the satisfaction of the Executive that the funds were available to First Capital or . . . that the requisite funds were available to Corporate Resolve.”

     

    The Takeover Panel demanded that the required cash should be placed on deposit with a UK bank “and for such bank to confirm to the Executive that it was in receipt of such funds”. Its report added: “In the event, no such bank deposit or confirmation was forthcoming. Corporate Resolve allowed its cash offer to lapse on January 20, 2000.”

     

    When the Executive investigated the background to the case it emerged that Corporate Resolve had broken takeover rules by not disclosing that it was controlled by First Capital and its clients, who owned 96 per cent of its shares.

     

    The official report stated: “Upon it being established that Corporate Resolve was controlled by First Capital and its discretionary clients, the Executive spoke to Craig Whyte and wrote to that company but First Capital failed to provide any of the information requested by the Executive.”

     

    The Takeover Panel concluded: “The conduct of Corporate Resolve, its two directors and some of its advisers fell short of the best business standards required by the Takeover Code.” Whyte was not a director of Corporate Resolve.

     

    6. Whyte is now owner of Liberty Capital Ltd, which has a tiny office in Glasgow but whose registered address is a PO Box at a shopping mall in the British Virgin Islands. No information on the finances of Liberty Capital is available. Its website is cheap and out of date.

     

    7. He is a Director of Pritchard Stockbrokers, based in Bournemouth, Dorset. The Financial Services Authority is investigating whether the company has sufficient cash to meet strict Government requirements.

     

    Fellow director David Welsby admitted: “While the firm has adequate regulatory capital in total, it does not meet the level of resources required by regulation in Tier 1 and Tier 2. The level of resource within each tier is being addressed with the FSA.”

     

    Pritchard lost £9,355 last year on a turnover of £2million. It lost a £500,000 in 2009. Pritchards is due to repay a £250,000 loan to Liberty Capital by 2015, with interest running at 10 per cent per year. Pritchard also owes £250,000 to London-based Merchant House Group (MHG), which Whyte has a large shareholding in.

     

    8. Whyte owns Tixway Ltd, which operates out of a small office in Bath Street, Glasgow. Official documents show its accounts are overdue. They are also being sued for £90,000 for not paying a roofers’ bill.

     

    9. Whyte transferred shares in Tixway valued at £500,000 to Merchant Capital Ltd, a subsidiary of Merchant House Group (MHG). In return he received hundreds of millions of MHG shares each valued at a fraction of a penny.

     

    MHG hit money troubles in August when the group had to issue billions of shares to pay off debts and cover more than £160,000 of directors’ fees. The company had reported losses of almost £2million in 2008 and 2009, when its revenue was less than £450,000 over the two years.

     

    The Merchant group of companies are all based on the seventh floor of Aldermary House, an office block in Queen Street, London.

     

    10. Last month MHG announced that a newly created subsidiary, Merchant Pensum, had played a role in the takeover attempt. MHG said: “Merchant Pensum acted as introducer for Craig Whyte on his potential acquisition of a majority shareholding in Rangers Football Club from Murray International Holdings.”

     

    The new firm – which is not yet listed at Companies House – was a merger of Merchant Capital and Pensum Partners, who boast a cheap one-page website (www.pensumpartners.com).

     

    11. Also based at Aldermary House is Cairnwell Investments Ltd, which lists Craig Thomas Whyte as Director. In October, Cairnwell successfully applied to cancel an official move to have the firm struck off the companies register and dissolved.

     

    12. Also based at Aldermary House is Merchant Corporate Recovery PLC, which is facing an “Active Proposal to Strike Off”. The firm’s accounts are said to be “overdue”. Its company secretary is Craig Whyte, while Craig Thomas Whyte is listed as a director.

     

    13. Earlier this year Whyte was a director of LM Logistics. The company is now bust.

     

    Somewhere, somehow, there surely must be even one success story – a company-turnaround triumph or whatever – that can reassure me and douse my fears that Whyte is not just a shyster looking to grab the mighty Rangers for a pittance, with vague promises of “finance in place” in offshore havens, then strip their assets and dump them before he has to pay any bank or HMRC debts.

     

    There must be proof out there of a billion pounds sitting ready for a snap of his fingers. There must be. Surely?
