Standards required by AIM. Oops.

The resignation of Craig Mather and Bryan Smart from the board of Rangers International PLC, in the wake of a damaging court defeat and a fiasco over the weekend, when inappropriate statements were issued on the club’s web site which did not adhere to stock market rules, leaves the company in a remarkable situation, indicated by a stock market notice this morning:

“The company, working with its advisers, will now seek to strengthen the board… to meet the standards required for an AIM company”.

Note the phrase “working…. to meet the standards required for an AIM company”.

After another director, Ian Hart, bailed out last week, and former chairman, Walter Smith, walked away two months ago, the company only has two directors left, FD Brian Stockbridge and non-exec James Easdale.

I believe an AIM company needs one more non-exec than executive directors.  Easdale is a significant shareholder, meaning there is no independent non-exec on the board able to become chairman.

The normal course of business is to appoint a director before you resign, or dismiss an existing director, to ensure the company has the necessary quorum to carry out its business.  If the company is not compliant in this respect, the board does not have the authority to subsequently appoint a director, nor can it call a General Meeting (Annual or Emergency).

If we take a step back from the immediate actions we could note that the main players in the phoenix have now left the stage, after being well compensated.  Brian Stockbridge is left holding the power-down switch of the deserted White Star Line flagship.

In the event that a serious trading position lies ahead, the men who created it can point to the disruptive actions by the Rebellious Requisitioners (who don’t have a single vote more than they had yesterday), from the safety of their various chateaus. They’ve gone, the patsys are in place…..

As always with this story, when an action is grabbing all the attention, look for what is happening offstage.  Our Hero has been playing his cards close to his chest recently.

    Bhouyed today by a few straws in the wind. CQN yesterday, courtesy of OldTim, was much more of a Celtic site than it has been for some time; STV mentioned that Dunfermline, because they had not been liquidated, had retained their history and James Naughtie, a reputable Scottish journalist, was disparaging, almost utterly contemptuous, of thon deid team on Radio Scotland this morning.

     

     

    Maybe others will begin to tell the truth.

    The BBC are lucky to have such a giant of journalism in their midst ; Hugh McIlvaney , Patrick Barclay et al , must wonder if they will ever reach the pinaccle of their profession, whilst Chick is showering us with his pearls of wisdom.

     

     

    I am astonished that Chick seems to be happy to play second fiddle ( or the flute ) to the Richard Gordons of this world. The way Chick dissected his way through the maelstrom of Rangers to identify the guilty party as a banker based in London cleared up the whole sorry mess for me.

     

     

    I would not be surprised to see Chick receive a knighthood for his outstanding contributions to journalism. Sir Chick I salute you!

    It’s my post with a title from Winnie the Pooh, author A. A. Milne.: A little Consideration, a little Thought for Others (Celtic), makes all the difference.

    As you all know, I’m a foreigner who doesn’t have an easy comfort when it comes to expressing his own opinion.     Gordon Strachan is Wobble manager this season. He tried very hard to do his best, but this season turned to be different one. Right, he was Wobbly with a players selection, with players positions and with the tactics.

    I would not blame Strachan. He achieved a lot in my opinion. You cannot blame somebody who got to the top and couldn’t defend his top position. All people at Celtic including Mr. Strachan and Mr. Lawwell should think about mistakes they made. No doubt, mistakes were made. They should start again their job from the place they are now. You always may have worse manager. The bright side is that clever people can analyze their mistakes. I’m sure next season Gordon Strachan will be much stronger and much better manager.

    When my Legia won the title two years ago I thought we will be the Champions until the end of the world.

     

    I couldn’t believe it could be true what one of the experts said: “They won’t be the champions next season. It’s almost impossible to be the champion again, year after year, two in a row.”

     

    Those who are disappointed with the current season, should check CQN archive. I remember what you were telling some time back. I well remember your wishes. Were these wishes not – Celtic playing in the Champions League? Yes, these were your wishes, but were only your wishes and nothing more!

    Some time ago I said that you have too many players who don’t know the club they are playing for. Celtic cannot be the bazaar.

     

    When after the game against Barcelona I met Maciej, my friend from Poland he said: Celtic have few good players, but they have more average players. Why the he** they pay such big money for some transfers and then pay wages to average players? They have too many expensive, average players. I’m not the expert, but I thought Maciej was right.

     

    It’s always sense to stand behind the manager and the players until the end of the season. Even if these are the last days at Celtic for some people, I would support them until the end. They are Celtic players until they wear the hoops.

    No matter if it was two thousand years ago, or maybe yesterday – people come to truth when they respect facts. At the end of the day, it doesn’t matter who is right but where the truth lies. Truth will be known only in May. We will see who will be on the top of the table.

    No need to be the Celt, the Irish or the Catholic to be Celtic FC supporter. I remember nice welcome I took from here about three years ago. I think, I was the only person on the blog who needed some time to think how to write TUESDAY word properly? I may forget how to spell TWESDY, but I remember how to spell correctly CHAMPIONS. I will spell it correctly again in my happy May post.

    Things have changed at my club Legia. We have a conflict: our fans against the owners of the club. No chance to see big support at my stadium these days. What I want to say is – I would like to hear huge noise from first until the last second of the game, no whistling fans, no empty chairs! These eleven man want to be sure of you. No matter how the man starts, it matters how he finishes. I really believe the league is not finished. Keep winning – this team, the rest will come. My fingers will be crossed.

    My Legia have no chance to be a champion this year, but I have another club I follow.

    As I said, my Legia are many points behind Wisla. Today we played cup game against Wisla in Crakow. Our couch thought we had no chance to go through to the next round. He decided to concentrate on the second place in the league. Our second, young squad played against Wisla … and won 1:0. We are still in a game for Cup. Sensational result there in Cracow! Could I believe that was going to happen three hours ago? I have fluff in my had. Fluff and bones.

     

    Now, I tell you, it’s easier to believe that Celtic will be the Champion.

  15. This sense of entitlement they have is staggering, they have been lying and cheating for that long, they they truly believe their own warped nonsense.

     

    Bitter and twisted to the core, morality bypassed by stupidity in abundance.

     

    I watch the antics of these people….and they are completely lost, bereft of humanity, vile haters of anything good or decent.

     

    I can only hope to see the demise of these people, because they are dragging this country down with them….but, if justice prevails like it should in due course, i will celebrate like never before, and when that day comes, i will raise a glass to the victory of the Famous Glasgow Celtic.

  16. I know lots have talked on here about the whole situation with them being about more than just the football team but needing root and branch clear out of MSM, SFA etc.

     

     

    I actually think the removal of Jim Traynor, the very public breakdowns of Chick Young and the rise of the likes of Jim Spence might be evidence that this is partly underway.

     

     

    You could suggest that bringing in Jingle Jangle keeps things as they were but he’s just a parrot, and an obvious one at that. He’s nowhere near as underhand as Traynor was.

     

     

    Tom English I think will just tie his colors to whatever mast looks like the most seaworthy, but at least he seems to have grasped that even if a Rangers gets back into the top league there has been a complete and irreversible shift in financial power.

     

     

    I don’t know who writes for the tabloids these days (Jackson aside) nor do I care. They will do what they always do, which is try and goad fans from all sides.

    One of the main reasons why sevco now find themselves up the same creek, sans paddle, as the oldco is that the scribblers failed at the first hurdle to properly investigate and report on the financial shenanigans going on behind the crumbling facade.

     

    They acted this way because:

     

    As supporters it was inconceivable that an ‘establishment’ club would sully itself in corrupt practice’s for short term financial gain.

     

    Or

     

    As journalists they had ‘crossed the line’ after one European trip too many and saw themselves as part of the club, ‘the in crowd’. They were above the ordinary fan ( the man who lives in the shadow of the temple mocks the gods, Confucius).

     

    Or

     

    They benefitted, directly or indirectly, from their association with SDM, CW, CG etc.

     

    Or

     

    They were threatened by more senior colleagues, either toe the line or face getting flung out of the fishbowl

     

    Or

     

    They’re thick

     

    Or

     

    They’re clinging to the wreckage of a cardboard empire

    The other reason is that is and has been a business story from the outset and without being to harsh, most sports journalists don’t have the capacity to understand it.

     

     

    Whereas the internet bampots either do or have easy access to people who do.

     

     

    Not only that but you have a fan base generally susceptible to the press and not prone to question the board. Had the story even been covered in the business pages, they wouldn’t have read them or would simply ignored them as they weren’t by ‘football people’.

     

     

    If ever you read their boards, on the few occasions somebody speaks some sense they’re either criticised as a TIMposter, or if it’s a clear old hand they’re lambasted by one side of the fans divide. So it’s completely unclear for the average fan, who is actually telling the truth. Even then, those that highlight that eg having on £1M left next April is a bot of a problem have blind optimism that money will come in.

     

     

    It’s not just their board that’s eating itself inside out. It’s the fans. If they ever did go totally bust. It wouldn’t be one equivalent of FC United of Manchester. It’s be several racing against each other to get big enough to take over Ibrox.
