TRFC submit incomplete Annual Return

Companies House published the long overdue Annual Return for The Rangers Football Club Ltd (previously Sevco Scotland Ltd) today.  Although only received by Companies House yesterday (12 Sep 13) it was dated 29th May 2013, however, the submission was incomplete.

A company is required to detail all their shareholders since their previous Annual Return (or as in this instance, since formation).  Companies House say the Annual Return must detail “the name of every shareholder (or joint-shareholders) who has ceased to be a shareholder since the made-up date of the previous annual return (or in the case of a first return, since the incorporation of the company)”.

The only shareholder detailed on this Annual Return is Rangers International Football Club PLC (RIFC PLC).  RIFC PLC was not formed until 16 November 2012, nearly four months after Sevco Scotland Ltd was formed, so could not have been a founding shareholder.

And there’s more…….

The Rangers Football Club Ltd issued a Statement of Capital to Companies House, dated 31 October 2012, showing the same number of shares in issue as this Annual Return (33,415,200), some two weeks before Rangers International was formed.  The Statement of Capital was submitted by Caroline Nicholls of Field Fisher Waterhouse LLP, who should be in a position to assist the directors.

I’d never really given any consideration to who owned Sevco Scotland Ltd  prior to the shares being consumed by Rangers International, but this omission is curious.  The story will move on now with auditors Deloittes taking centre stage.  They have plenty on their plate prior to signing off the PLC’s accounts so may be happy to turn a blind eye to the reporting requirements of a subsidiary company.  Companies House already have an active issue over submissions for Sevco 5088 Ltd, it remains to be seen whether this one passes below the radar.

This is all so unnecessary as I am sure the correct information would be perfectly appropriate and in good order.

Can you imagine what we would be doing if our ‘club’ was being run in this manner?  This story is being played out while all those who should be asking questions are being distracted by a player betting against his own club!

In the grand scheme of things it doesn’t matter if Ian Black hedges against himself, or what embarrassingly light punishment he receives.  The real story is so much bigger, it is being written in large type, visible from the moon landings, but the football authorities appear happy to stand back and let events take their course.

  1. In response to some posts from the last thread…

     

     

    I think if you really thought about it for a minute or two you wouldn’t profess that being affluent enough to buy a season ticket is an altruistic prerequisite to being prioritised over all others when Champions league ‘package’ ticket rush comes around; after all, are the poor Celtic Supporters, and they number in their thousands, destined to go to their graves without ever having ever experienced a real Champions League night in Paradise, or is that really just the preserve of those who can afford the whole deal?

     

     

    By all means give season ticket holders first option to buy one ticket, set aside all the sponsor and commercial tickets, and then what is left, sell to the public, not as a package, but on a game by game basis, on a first come first served basis. Maybe then some of the poorest Celtic Supporters might manage to scrape together the price of admission to one game and still keep his/her pride.

     

     

    Or is our all inclusive dependant on having no holes in our shoes and an ability to lip serve our ethos on command?

    as a season ticket holder who has bought 3 additional tickets for friends – I totally agree with you. The Champions League games for Celtic must not be the preserve of “those that have”.

     

     

    We should set aside 5,000 tickets for each game for those that can’t afford the season book or the 3 match package, it would be the Celtic Way.

    As I said in the previous post, where there is huge demand it’s impossible to keep everybody happy, and I see merit in every scheme proposed.

     

     

    Do as you propose and folk would complain that too many were allocated to online sales, and they don’t have access to a computer or a credit/debit card. Alternately others will moan that too many were allocated to the Ticket Office and they can’t get there during office hours.

     

     

    Then people would suggest that it be done on a Saturday and others would complain that they were travelling to the game etc.

     

     

    The club is between a rock and a hard place in these circumstances but we should all be glad that we’re the greatest show in town.

    Celtic PLC clearly require to get the money in as quickly as possible and unfortunately the thinking appears to be that if the first few group games don’t go well results wise, the last home game could be a dead rubber and won’t sell out. Therefore selling all upfront in a package is the preferred route.

The group, which is being led by wealthy Scottish businessman Jim McColl, had called for chief executive Craig Mather and directors Bryan Smart and Brian Stockbridge to stand down. But in a statement to the London Stock Exchange the Glasgow club confirmed the group had withdrawn the requisition. The club said: “The company confirms that all of the current directors remain in office and that it is not appointing any additional directors save that as previously announced, the company confirms that it continues to actively seek to appoint a new chairman.” Discussions between the club board and the disgruntled shareholders have been ongoing since the move to have directors replaced was made. An agreement had to be reached before today or the club would have been forced to convene a general meeting before the annual meeting due to take place in October in order to settle the disagreement. Rangers announced earlier this month that the board would consider a request for Blin, Murray, former chairman John McClelland and Greenock businessman Sandy Easdale to be added to the board.

    I appreciate there is no ticket distribution panacea, somebody will always get their nose outta joint, but for over a century the poor knew their way to the Calton and Parkhead. Without the poor, the Clann an Gorta Mor we would have no club, no Champions League nights, no family and all that that entails… and at the best of times, when the party is the loudest… do we close the door on the poor because the ground is full to the rafters with the affluent.

     

     

    I don’t think you are advocating that. DavieL’s suggestion at least gives some Celtic Supporters without much means to buy SB’s and packages, a chance to join in the party too.

    I have, until now, felt that Cetic’s stance of maintaining a dignified silence on matters sevco was correct for two main reasons; firstly, why interrupt your opposition when they are destroying themselves, and why should Celtic fans be put at risk from possible violence from the hordes?

     

    Now, Peter Lawwell is in a leading position in the SFA and so complicit in any action/inaction taken. Celtic can, with good reason, be accused of everything we have been levelling at Doncaster, Regan and Ogilvie. Either PL resigns in protest or he speaks out publicly against the SFA’s stance.

     

    The orcs are on the warpath and have already abused Jim Spence, and his wife ffs, in the street. So Celtic fans are at risk if the “dignified” silence is maintained.

     

    Furthermore, do Celtic, with a man at the top table, want to be involved in bureacratic skullduggery to help preserve a poisonous cancer which is killing the game. All of OUR great history and contribution to the game, and OUR reputation for fair play is at risk if OUR man sits quietly and does nothing.

    Is it fair the way the club have sold the tickets? I’m not sure, I think selling as 3 game packages is the logical thing to do. Should non SB holders have a chance to get tickets? Well they do if they know a SB holder. My nephew shares a SB with my brother on the basis my brother gets the champs league tickets but obviously he can then use his SB “privileges” to buy an additional pack.

     

     

    I struggle to find the money for my season books and usually end up putting it on a credit card and did this year. For me my season ticket actually went up in price as I sit in 116 and now have a “full” season ticket rather than a “special” one that didn’t include the games against deadco!

     

     

    It was £144 for mine and my little ‘uns 3 game package and that got spanked on a card with enough credit left. I’ll worry about how I will repay that later, for now I’m just happy to know that I will be at the 3 games and I can’t wait to see Conor’s face when we play Barca and he see’s Messi in the flesh!

     

     

    I guess the reason the cards can’t be used for these games is a lot of SB holders need to move seat etc. so it might make sense to issue paper tickets?
