Contrary to our earlier understanding, Rangers did not win a ruling from the Court of Session on who was to be appointed administrator, HMRC and Rangers came to agreement on the appointment of Duff and Phelps, who acted for Whyte during his takeover of the club.
The admission by Duff and Phelps that today’s court action by HM Revenue and Customs was in connection to circa £9m unpaid tax accrued since the takeover in May last year will come as a surprise no one in the Celtic Quick News community. This is why Rangers are now in administration, it’s nothing to do with the big tax case, or indeed, the wee tax case.
Key question is, what will HMRC do now? They’re not going away/. Rangers continued to sign football players despite being delinquent with taxes, and briefed journalists that they rejected a £9m offer for a player on 31 August 2011.
The fact that the business is in administration due to activity carried out under Craig Whyte’s tenure may also interest the Insolvency Service, who are already investigating Whyte’s takeover of the club following information passed by former chairman, Alastair Johnston.

The short answer is Wrongful Trading is the unlawful act as set out in Section 214 of the Insolvency Act 1986. Insolvent Trading or trading whilst insolvent would be part of the evidence of an act of Wrongful Trading, however it is not necessarily an unlawful act. It depends upon the facts of the case.
So what is the difference between the two?
There is no statutory recognition afforded to Insolvent Trading. Whilst undesirable in many instances it is not necessarily unlawful.
Wrongful Trading is an action that can only be undertaken by a person occupying the position of Director of a limited company. That position of “Director” can be determined in a number of ways, being official (recognised at Companies House and in a company’s statutory register), de facto or shadow as set out in the Companies Act.
Wrongful trading is the act by Directors of a period of trading in which debts and liabilities are incurred and typically increase, whilst having no reasonable prospect of a company avoiding insolvent liquidation. It is the action by Directors of accepting credit when it is highly unlikely that the same would be discharged due to the financial position of a company.
Wrongful Trading only applies to company Directors, whereas Insolvent Trading can be undertaken by individuals such as sole traders.
There are two tests for solvency defined in Section 123 of the Insolvency Act 1986, being 1) are your assets exceeded by your liabilities and 2) are you failing to discharge your debts as and when they fall due. If you satisfy either criteria then you are technically insolvent in accordance with the definition of the same in the legislation.
What is the risk? Well if you are accused by a liquidator of a company of Wrongful Trading then as Director you could be personally liable for the damage the company suffered during a period of Wrongful Trading – so do not do it!!

Im starting to believe the whole Craig Whyte takeover was deliberately so murky it was impossible to know all the truths until after they had got away with things.
The take over by Craig Whyte is under investigation.
Who knows what they will uncover, maybe they will uncover proof he should never have been allowed to take over
Their only hope for survival was to avoid paying their tax bill.
Maybe the poor european showings resulting in less incomes HELPED them.
Sell the club to a man who had the wealth and they would have had to pay the tax bill.
The only way they could avoid doing that was to fall into administration.
Sell the club to a man with seemingly so little wealth he had to offer future season ticket sales for sureity or whatever its called – meaning they had to fall in to administration is a little more than curious.
I think things are panning out exactly as they had planned them to.

However, it is the inability of Whyte – who last night admitted the club had been running at a loss for some time – to fund the club’s business on a weekly basis which has brought them to this stage. In England, football debt takes priority over the taxman and other creditors but that situation does not apply north of the border, as clubs are discovering to their cost.
Dundee United, due around £100,000 from Rangers following their 2-0 Scottish Cup victory at Ibrox 10 days ago, must now join the queue of creditors and hope for the best.

They didn’t elaborate – other than to say they would be having talks with the Administrator before the end of the week.
Maybe someone at HQ worried they get taken to task if it were to come out that the administration process overlapped?
