In the event of Rangers facing financial Armageddon after the resumption of their HMRC tax hearing a quick – very quick – recovery scenario is available to them. At any point during next month’s hearing they may consider their position is no longer tenable and, unable to meet the tax bill, a new company could be formed which attempts a prepack administration.
A prepack offer from a new company, for example, Rangers Newco FC Ltd, would offer an administrator a deal for all assets of the club, including stadium and offer to meet outstanding player wages. Deals like this seldom offer unsecured creditors much but even a small percentage might realise more cash than the administrator would gamble on raising in an unstructured sale.
In such circumstances, the administrator could accept as little as £4m for the unsecured creditors.
In normal business Rangers Newco FC Ltd would begin trading and this would be the end of the story but football is not normal business. Rangers Newco FC would own a stadium and would employ some footballers but they would not be part of any league structure. They would need to apply for membership to the Scottish Football League or Scottish Premier League.
In this scenario, the death of Rangers Football Club would leave a vacancy in the SPL, presenting several financial, logistical and sporting challenges. Without Rangers, the league would have to invalidate all this season’s results involving the club, one team would be without a game each weekend for the rest of the season, current TV contracts and sponsorship deals could be jeopardised, while future contracts would be worth a fraction of their current values.
Every team in the league would have to downsize and some would have to win fresh support from their bankers, which may or may not be forthcoming.
There is, of course, a resolution to this problem.
Rangers Newco FC Ltd could present an offer to the SPL. The new company, with its stadium and thousands of potential supporters, could take the obligatory 10 point punishment for going into administration and adopt the place of Rangers FC, complete their fixtures and allow every other team in the league to fulfil commercial obligations.
If these events took place before Christmas, Rangers Newco FC could be debt-free and signing players in January to enhance their league challenge.
To force the deal through, Rangers Newco FC would require 10 of the remaining 11 SPL clubs to vote in their favour. If any two clubs stand against them, they would have to apply for membership of the Scottish Football League, but, having researched this story for several days, I expect Rangers Newco FC Ltd would get enough support to pick-up the place of the defunct Rangers FC.
Any natural sympathies towards Rangers aside (which will not exist in all places), money talks and, apart from Celtic, this league is neck-deep in debt. Celtic might be in a position to survive Rangers failing but it would cost our club tens of millions.
Crucially, if the other SPL clubs back Rangers Newco FC, they create a template for a snap recovery from their own troubles. Instead of repaying your debts, simply get yourself into a safe league position, ditch the company, prepack and start again with a clean sheet.
This would create a clear incentive to stiff creditors. While the banks will get wise and not offer unsecured facilities in future, HMRC and small traders are likely to become perennial fall guys. Why would any mid-table team pay millions in tax, rates and policing bills, when they have a sporting incentive to ditch creditors without punitive penalty, freeing income streams to buy football bling in the next transfer window?
This would make a mockery of the Uefa predident Michele Platini’s Financial Fair Play initiative and make our league the poster-boy for Financial Doping.
Scottish football will be mortally wounded if it were to parachute a club straight into the upper echelons of the game while establishing a blueprint for the abandonment of creditors.
It is incumbent on all who care about the game, in Scotland and throughout the world, that we insist Scottish Premier League clubs do not allow a prepack company to phoenix into the shoes of a dead football club.
Celtic fans, as well as those from Aberdeen, Hibernian, Dundee United and St Johnstone, together with fans from Motherwell, who could become genuine championship contenders, and from those clubs who would avoid relegation if Rangers failed, must insist their club votes against any prepack company parachuting into the league.
The SFA executive must use whatever influence it can to prevent the name of Scottish football being brought into disrepute. Politicians, who either have, or aspire to have, tax raising responsibilities, must register their abhorrence that a self-serving oligopoly should attempt to vote themselves an escape from paying tax.
Fifa and Uefa must explain to the Scottish FA that the days of shady financial deals in football are gone.
Watch the media coverage of these events carefully. If and when the decision time comes, the case to acquiesce to Rangers Newco’s demands will be overwhelming. Sincere ‘impartial’ observers will do their upmost to convince us all we must do whatever necessary to save Rangers for the good of the Scottish game. Some voices will even tell you Celtic need Rangers Newco. Whatever part of my club is dependent on Rangers I am willing to lose.
Rangers-HMRC tax hearing resumes next month, when there is also a two week international break. The most important element of making a prepack offer succeed is to offer a fait accompli: ‘Here is a solution, you have no time and you have no alternative’.
Should Rangers go into administration, I believe this is a very, likely scenario. If you are a supporter of Celtic or any other club, make your views known.

Pfayr, whoever funded the £18m will probably be in a position to fund the new club. Don’t discount a line of credit either. They would be a club without debt and with substantial good will – ironically a good credit risk, especially if there are some assets to commit.

if the huns go under and are alowed to stay in the league not much will change, if the huns have to start at the bottom it’s the end of scottish football as we know it. a very good thing imo… but will it be alowed to happen? do celtic want it to happen? the last few years it seems like celtic have been trying to help them stay afloat. last year when n.lennon and john paul mcbride were sent bombs i don’t think we shoul have ever have played an other spl game. if we did pull out the league i think we would be playing somewhere in the lower leagues in england, a place i would much rather be now. at least there would be a future for our club

But rangers never looked to settle. They preffered the expensive buy time litigation route. That along with the wee tax bill cannot stand them in good stead within the courts. My assumption is that if HMRC want to win a landmark ruling then they will chose the one that is easiest to win based on evidence of flagrant abuse of the law. The sums are unimportant as the list of EBT abusers is lengthy.

I loathe RFC, they represent many of the things that I find vile and distasteful. I loathe many of their supporters with their supremist, triumphalist narrow minded views. I have a great friend who’s a hun, he would be devastated if his team were to disappear. I couldn’t console them because I’d be too busy partying.
What I’m struggling to comprehend are those who, should CFC vote to keep them in the SPL, would never give another penny to the club or would prefer to go and watch Football Club Celtic of Glasgow.
I boycotted previously but that was with the aim of saving our club, Celtic. Despite my feelings towards them, I will not boycott Celtic if the only purpose is to see their demise.

So, What Will Happen To Rangers? – They Might Be Bought Over in a Pre-Pack or Liquidation
If however there is a pre-pack, where the assets are bought by a new company (referred to as “newco”) or there is a liquidation and a “newco” buys up the assets and, for example, buys another team with the intention of moving them to Ibrox, whilst changing the name, this would be a new corporate entity. In the former case, legally, the team would have no connection with the “old” Rangers. Indeed if the newco attempted to pass itself off as the oldco, there would be a risk of HMRC and other creditors looking to pursue it on the basis it was a phoenix company and effectively a continuation of the oldco. Any purchaser, whether Mr Whyte or someone else, would not want to make the connection so obvious that that would happen. Would that affect the claimed history of the team, the name of the team, the colour of the strips, or the ground where they played? All of these might be relevant.
The rules of the SPL seem to prevent a newco being admitted directly to the SPL without having come up the ladder from the Third Division. However, the SPL is a company, owned by its shareholders, the teams in it. An Insolvency Event allows the SPL to reclaim the share held by an insolvent member. The SPL, by a 10-1 vote, could agree to allow a newco immediate entry to the SPL by changing its own rules. Thus a newco Rangers, in theory, and as long as no more than one other SPL team opposes them, get straight back into the SPL. Indeed, if the change to a newco happened mid season, there is nothing in law which would preclude the SPL from allowing the newco to take over the oldco’s points.
Would fans of other SPL teams agree to their directors effectively resurrecting Rangers? Would, for example, Celtic fans approve Peter Lawwell voting in favour of Rangers’ immediate re-admission? Would Vladimir Romanov vote in favour of one of the detested Old Firm? I suspect from what I have read that a Celtic Park following such a decision would either be full of protesting fans, or three quarters empty, with tumble weed blowing around!
UEFA too might have issues, but when it comes to these matters, in the spirit of subsidiarity, it prefers to leave the local associations to resolve these knotty issues. The problem would then be one for the SFA, and I suspect that, if the SPL allow a newco Rangers back into the SPL, then the SFA would go along with that.
Might a decision to allow newco Rangers to inherit oldco’s points be challenged? I suppose it is possible that the team who end up facing relegation might argue that this was unfair, but the counter argument would be (a) that the SPL had voted in favour by the required margin and (b) that the points won were effectively part of the assets acquired by the newco.
If the worst happened from a newco point of view, and direct admission to the SPL was not allowed, then they would need to seek admission to the Third Division and work their way up. In the same way that Juventus, relegated to Serie B for corruption, kept most of its players and motored back to Serie A in one season, banging in goals and packing grounds left, right and centre, one could imagine a newco Rangers doing the same as it travelled from Arbroath to Annan, from Peterhead to Berwick.
The Cleveland Browns Analogy
The matter of sports teams’ histories can be very emotional, not just in Scotland. The Cleveland Browns were a team playing in the NFL. They had a history dating back to their founding by Paul Brown (hence the name) in 1946. In 1995 however, the franchise owner Art Modell, decided to move the team, lock, stock and barrel, to Baltimore for the 1996 season. The loyal Clevelanders went mad. Court actions, threats, vandalism etc occurred, but the move was not stopped, and the re-branded Baltimore Ravens kicked off in 1996, with the players, staff, and history, of the Cleveland Browns.
Then what happened showed how flexible these matters can be.
The NFL decided that the fairest solution it could come up with was as follows.
The “new” Baltimore Ravens were treated as having come into being in 1996, even though the ownership was that of the previous Browns and most of the players and staff were too. A new franchise would be created to commence playing in Cleveland, as the Browns, in 1999, and the relevance for our discussion was that the league agreed that the history of the Browns from 1941 to 1995 was the history of the “new” Browns – they had had a “hiatus”. From a football perspective, it is of note that Al Lerner was the owner of the new franchise in Cleveland, and on his death his son, Randy, took over. That is the same Randy Lerner who owns Aston Villa!
What about the Players’ Registrations?
As far as the players’ registrations go, there are varying views about this. As I understand it, administration does not affect their contracts (though the administrator can elect not to keep them on) unless they are not paid, which would be a breach of contract entitling a player to terminate the contract and become a free agent. Whether or not a player did so would depend on whether he, or his agent, thought he could get a better and more secure deal signing elsewhere. Any player who was out injured long term or whose performance level had dropped off might be happier, administrator permitting, to hang on at the Club as the cash would not be forthcoming elsewhere.
Liquidation however is different. As I understand it, the appointment of a liquidator would effectively turn the players’ registrations over to the governing body. In that case, newco Rangers would not be burdened by the old contracts but would have none of their players either, unless they individually agreed a new deal with newco.
If there is a newco following a liquidation, then the absence of debt, and the likelihood that, even without the legal connection, many fans would see newco Rangers as a continuation, there would be far more money available than in any other Division 3 team and we would see a repeat of what Gretna did in shooting up the divisions, except with more money being spent and in a 50,000 seat stadium.
What Does Craig Whyte Stand to Gain?
Mr Whyte is a businessman, and by all accounts a successful one. He seems, from all publicity, to be a man who gets involved in failing or troubled businesses, and either seeks to turn them round, selling them on as profitable and this making his own profit, or breaking them up and realising the assets to make his profit that way.
His dealings with Rangers suggest a similar approach. He is believed to have cleared the full debt to Lloyds TSB by paying them £18 million. In return he took over their rights under the Floating Charge. This is security, if in standard terms, for all sums due by the debtor, “Club” to the creditor “Group”. Accordingly, this charge assists Group to recover all the money paid to Club or on its behalf and fees and interest. Mr Whyte could have discharged the Bank’s security and taken a new one of his own, bur Floating Charges granted pre-2003 are better for the creditor, for reasons discussed elsewhere.
Group also undertook to write off the debt owed to it by the Club 90 days after the end of the “big” tax case. Why would a successful businessman agree to write off a debt of in excess of £20 million, at least, owed by a subsidiary to its parent company, especially as Mr Whyte has either had to raise from his own funds, or from a third party, the £18 million paid to Lloyds TSB? This is not a paper debt he has said will be written off.
It may simply be that Mr Whyte is a loyal Rangers fan, able because of his vast personal wealth to take over his lifelong football team and who will not baulk at paying whatever is needed to keep that team going and do so successfully.
However it may also be that he is a very canny businessman who perceived that, with an average European season, there would be enough funds to keep going till January at which time players could be sold, this being in anticipation of the FTT decision, but sadly it would have become apparent that there was simply too much dent to survive as oldco. In that event, Group appoints a receiver – it gets all its money back, including fees, charges and interest (levied at 3% per month). It might even be that he uses the funds he has realised, to pay the administrator or liquidator to take over the assets of the oldco, and he is then full owner of Rangers, unencumbered by any debt, and able, if he can persuade his fellow SPL directors, to keep going, minus only a ten point penalty.
The early losses in Europe and the League Cup have damaged the plan. He may well have had to put in more than he wanted now to keep the team going. However none of that necessarily renders void the original plan mentioned above.
Questions are still to be answered. For example, he has pledged, even in insolvency “to protect the small shareholders”. How does he plan to do so? What would happen to season ticket holders in an administration or liquidation>? The administrator or liquidator can refuse to honour their contracts and seek admission on a game by game basis, whilst leaving the season ticket holders as unsecured creditors.
Would Mr Whyte be able to persuade a large number of fans to pay twice for their seats, probably so!
What would happen with supporters who purchased season tickets through a finance company? They would still be liable to pay the company, even whilst no longer having rights to a seat.

I don’t know the motivation of John Wilson, when he took our part against the Establishment for our flying the Tricolour but the cases are hardly equal. They have acted for a number of years fraudulently, during which time they have cheated us of many millions of pounds by their gaining admission to the Champions League and its monies. I hope the taxman and their other creditors receive every penny they are owed and that they are forced into oblivion. Scotland will be a much better place without them being the focus for the racists and bigots who blight our society.
In October 2008 Celtic fan Michael Devlin was convicted of religiously aggravated breach of the peace for wearing a T-shirt which bore a derogatory expression containing the word “hun”.
Due to my working class background I’m totally ignorant of all things to do with business and insolvency but could someone just confirm there are absolutely no rules or regulations to prohibit a businessman going out of business through lack of funds and starting another business immediately.
Surely there must be questions asked about where the funds are coming from to start the new business and why aren’t these funds being channelled to paying off the debts of the old company?
Call me stupid if you like but don’t ethics and morality have anything to do with the business world?
If this was to happen I would never set foot in another away or neutral ground. I would hope that every Celtic fan would follow.
This would be tantamount to cheating not only football authorities but the law of the land.

If this was to happen it would and should finish Scottish football.
I have a feeling in my bladder – and that is all it is, a wet urgent feeling – that if the scenario painted above came to fruition AND Celtic were supportive of Rangers’ continued SPL existence, the attendance at the first game between the two teams would if anything be massively in demand.
I have no logic or rational other than that the desire to howl derision and disdain will prove like a giant magnet. I know I would be there. Just a feeling, but like the analogy I gave sometimes feelings should be attended to before a nasty mess is made all over the floor.

How could newco take rangers place and assume their accumulated points, surely a different club with no real connection to the old bankrupt, out of business, no more, ceased to exist, gone forever rankers fc (i enjoyed typing that).
Secondaly, surely the teams fighting relegation would vote against newco being allowed back in. Makes sense that an 11 team league would postpone relegation for a season and all leagues below get an extra promotion place leaving newco the chance to apply for entry in the lowest division ( I enjoyed typing that eveb more )

Also, rankers starting in the lower divisions and working their way up would have no financial implications on us at all. We would have a straight run at the league and possible CL money for a minimum of three years but more likely longer. Newco would return at some stage and the old rivilary will not have faded but instead increased. It would certainly increase my interest.

Vini, I think that under new regs, they would have to play out of a home stadium in England if they wanted to be part of their League system.
Someone will confirm but I was under the impression the Welsh model no longer applied.
