No redundancies as Whyte set for Prepack offer today

We have discussed the Craig Whyte narrative here in some detail since October last year when we first suggested he was preparing to liquidate Rangers and attempt a prepack recovery.  I expect this to be put into motion today.

You can ignore any meetings Duff and Phelps hold with prospective buyers of the club, this is window dressing.  Craig Whyte and his partner company, Ticketus, are the only people in position to make a viable offer for the business.  They hold security on the stadium and Murray Park with Ticketus owning the first 26,000 season tickets (approx.) sold for the next three years.  It would cost approximately £40m to release Ticketus security plus whatever is owned to Whyte.  No one will offer to cover these costs.

Expect Duff and Phelps to conclude their meetings and report that they are in possession of a genuine offer from Whyte/Ticketus, or their proxy, to buy the assets of the company.  The proxy may be required as pretty much everyone who has touched this club in recent years would not be considered a Fit and Proper person and would fail the requirement not to be involved with an insolvency within the last five years.

The offer for all assets will be for a nominal amount and will be conditional on all legal action against Whyte or his companies being dropped.  Duff and Phelps will accept the offer.

Whyte cannot afford to allow large scale redundancies as he needs to be able to sell these players in the summer or play those he is unable to sell.  With the players not agreeing to a short-term cut in pay, he has to make his move now, despite the enormous risks involved in going early.

Duff and Phelps could have made redundancies 24 days ago and ensured the club would be able to finish the season, or at least survive until the tax verdict, but retaining the football squad was an important part of Whyte’s forward plan – and Whyte’s notional offer will have been known to them from the beginning.

HM Revenue and Customs will take a bath for their £75m, Whyte will emerge with all property assets and the football club, although the club will carry the significant burden of selling tickets for Ticketus.

The SPL board will have to vote within the next week on whether or not to allow Rangers Newco to continue with the same league membership as Rangers FC.  Whyte will have to take an enormous chance that his proxy will be presentable enough to allow them to turn a blind eye to the enormously inappropriate behaviour.

The vote could go either way but I expect Celtic will be the only club to object.

The issue is complicated by legacy issues.  Neither the SPL nor the SFA have acted on the improper registration of players matter yet.  If any of the current Rangers team had their current season contracts registered with the alleged improper procedures, games involving those players will have to be awarded a 3-0 defeat to Rangers.

The SPL will have to come up with a verdict on this matter within days or else revisit the matter in a few weeks, after deciding on what to do with Rangers Newco.

The SPL must also consider the issue of precedent, the consequences of enabling a club to disenfranchise a £75m creditor cannot be underestimated.

HMRC may also have an input here.  They stand to lose most from this deal and may seek court intervention, arguing that liquidating the company prior to the FTT verdict is unnecessary and prejudicial to their interests.

    However, regarding the current situation:

     

     

    It seems to me that there is an obligation on Celtic Plc board to act in the interests of shareholders. Where a competitor has been proven to have gained unfair advantage due to fraudulent activity … There is no alternative…they must pursue financial reparation

     

     

    Biding their time is all…

     

     

    Consider what Apple would do if they discovered IBM were artificially reducing resourcing costs by failure to pay tax on earnings.. Thereby giving them a crucial price point advantage in key markets

Quotes attributed to SPL chairman – “this is the best chance in a lifetime to break the stranglehold the Old firm have over Scottish football”. So simply they want a bigger share of TV revenue they want to split gate receipts 50 / 50. In other words they want Celtic to fund them. They bring 2000 to CP and walk away with 50% of 60,000 worth of ticket sales.

    Cooke wrote (and pay heed to the last line):

     

    “The pension scheme funding risk continues to represent the principal risk factor faced by the Company. We continue, in conjunction with the Trustees to closely monitor the performance of the Scheme’s investments which total £8.26m (2010: £8.20m) together with the schemes liabilities. During the year the Trustees took the decision to change the investment manager of the equity and bond portion of the portfolio and at the same time to liquidate the Scheme’s bond holdings of some £3m. At the year end the scheme was holding £3.3m of cash (2010: £106,000) although a significant portion of this has been earmarked for a specific investment.”

    SO with a depleted squad and about 10 games to go they need to hope Dunfermline lose every game and Newco win every game to enjoy SPL status next season. Referees then have their days in the sun again but realistically the world is watching…… they’d be gone. SFL1 for ewco next season.

     

     

    Is this right? Will they have to struggle on to the end of the season before liquidating to avoid relegation?

    · Division of receipts and payment of expenses (Scottish Cup)

     

    I would like to clarify the situation relating to possible non-disclosure of payments to players, and in particular the Employee Benefit Trust. Having noted the Scottish Premier League’s intention to investigate this matter, the Board has decided to allow the SPL to complete this process, given our potential status as the appellate body. We retain our position until such time as the SPL’s investigation is concluded.

     

    Finally, we have sent a letter to the Rangers administrators, Duff and Phelps, advising them that failure to pay monies owed to another member constitutes a breach of the Cup Competition Rules. Consequently, the club faces disciplinary action unless they make payments due to Dundee United from their recent William Hill Scottish Cup tie. A Notice of Complaint has been issued to that effect.”

    Calling all personnel outside of Glasgow Celtic and their support who are prepared to publicly state that the integrity of the game is more important than the finances of the Scottish game?

     

     

    I have tried to consider what my feelings would be if this were Celtic in this position, and I would genuinely be too embarrassed to argue that we had any right to expect re entry to the top flight.

     

     

    Ask a Celtic fan if they wanted to stay in the SPL under the same circumstances and I am sure the answer would be yes. Ask the same people do you deserve to stay in the SPL, and I am sure the majority would answer no. What is it with these ‘peepil’ who are unashamedly happy to answer yes to both?

    Personally I doubt if they would have the collective guts to kick it.

     

    I will stand by my oft stated view, that enjoyable as all this is now, in the not so long term, it is meaningless.

     

    THEY will be in the SPL next season and heaven and earth will be moved to get them into European competition.

    We Celtic Supporters have had a good fortnight debating the problems that Rangers have brought upon themselves,the troubles that are in store for them,even including, their demise as a football club,could that come to pass.

     

    There is no quick fix for them and there shouldn’t be any quick fix,they should be punished for any misdeeds that they have committed,sympathy will be in short supply from the club in the East End of Glasgow,but there is sympathy out there,they seem to think that there’s an open door back into the SPL.They may have some clubs that will have sympathies for them, I honestly don’t know why, but there will be a few clubs that will give them their vote to get them back into the SPL.

     

     

    This is a club who has indiscriminately cheated every team that has ever played in the SPL,I feel sorrow for the teams that were cheated,but I have absolutely no sorrow for those that choose to cheat, rather than play the game fairly.

     

    It may be an disease that’s prevalent in Scottish

     

    Football,we have referees that are suspect at a bit of cheating,it could be incompetence,but I think cheating is more apt.

     

     

    A fit and proper person to Buy Rangers.At this moment in time everyone that has been mentioned or involved re Rangers aren’t fit and proper peepil to run a raffle,never mind a football club.They all knew about the two contracts,if not, they were incompetent at their jobs when directors of Rangers,Dave King,Paul Murray, they aren’t fit and proper persons to have anything to do with Rangers in a New Co,But I think it’s all wishful thinking on all their parts,They would have to pay Whyte to move on,and as the Whyte Knight said, he isn’t going anywhere.

    I noticed that as part of the SFA statement, Rangers were threatened with disciplinary action should they fail to pay Dundee United monies owed from the Scottish Cup tie. Kettering Town were recently deducted three points for failing to pay creditors, and I am sure the SFA has a similar sanction available.
