I’ve had an initial read through the prospectus for yet another Newco, this time Rangers International Football Club plc, which “was incorporated with the intention of acquiring RFCL upon Admission in order to allow an investment in the Company to qualify for VCT and EIS tax relief”.
There can be no qualms from HMRC that anything has been hidden from them this time, incorporated to allow an investment to qualify for tax relief. RFCL (Rangers Football Club Limited) is not eligible for VCT and EIS tax relief, so the incorporation of a new company was necessary. HMRC provisions require VCT and EIS schemes to be used for genuine trading purposes, not as part of a tax avoidance scheme, so I’m sure the Newco’s lawyers have got all their details correct.
On the subject of getting details correct, the prospectus notes there are 33,415, 200 RFCL shares in issue. It then goes on to list the shareholdings of entities which own over 3% of the company, and lists 36,385,200 shares in this category. Shares held by entities with less than 3% of the company’s shares, such as the £700k-basic-per-annum-Ramsdens-Cup-flop McCoist, are on top of this 36million.
The prospectus also notes that if the issue is fully subscribed the new shareholders will own 63.3% of shares, not the 53.6% my calculator suggests (existing shares: 33.4152m, placing: 24.242875m, offer: 14.285714m).
Charlie Green is paying £2.5m for this issue, perhaps the cost of a calculator would have blown the budget.
Most curiously of all, the identity of those behind Blue Pitch Holdings, remains undeclared.

Can’t be bothered with Sportscene and have watched the start of Match of the Day.
Man City’s problems? That’s above my pay-grade, but something that struck me very clearly and which is a bigger part of the problem than I know how to articulate, is that when Wayne Rooney scored to make it 0-1 to Man United, the camera showed the crowd in the background of his celebration. It was wealthy looking Asian people wearing Man City scarves. They were elbowing each other to get the best shot of Rooney on their handheld devices.
Why is this a problem? I don’t know exactly, but I’m sure it is.

RvP cost me a £400 ‘trixie’ – bet City @6/1 in play draw with Milan @ 7/2 (were trailing 1-0) + Juve @ evens.

The only way I seem to make anything is accept very little profit, I usually only do singles and doubles, a treble or two and I always throw in a acca.

Tis a human trait is the greed, that’s how the bookie always wins.
The likes of Everton today would have bust quite a few on the inplay market, I keep telling myself that I need to stop, but, like any addiction, harder than it is.
If I started to lose regular, I would stop, as I don’t have the disposable income to throw away, I start with a pot at the start of the season, if it goes, it’s gone, no more, I am strong that way, learned over the years that a 1% win is better than a 1% loss.

I loved the way Neil set up the team against Killie.
Efe and Victor are excellent footballers. Saturday we were set up so we could take risks.
When Victor made that dash forward in the hope of scoring for Celtic against Benfica, all he done was expose us to a very threatening counter attack. Both Efe and Victor are special players that are the real deal.
Domestically they will be allowed to do what they were doing on Saturday and be really encouraged to do it. Europe, well I never ever want to see Victor make that sort of run again. ;))
