Prospectus sums, tax relief and Teenage Cancer

I’ve had an initial read through the prospectus for yet another Newco, this time Rangers International Football Club plc, which “was incorporated with the intention of acquiring RFCL upon Admission in order to allow an investment in the Company to qualify for VCT and EIS tax relief”.

There can be no qualms from HMRC that anything has been hidden from them this time, incorporated to allow an investment to qualify for tax relief.  RFCL (Rangers Football Club Limited) is not eligible for VCT and EIS tax relief, so the incorporation of a new company was necessary.  HMRC provisions require VCT and EIS schemes to be used for genuine trading purposes, not as part of a tax avoidance scheme, so I’m sure the Newco’s lawyers have got all their details correct.

On the subject of getting details correct, the prospectus notes there are 33,415, 200 RFCL shares in issue.  It then goes on to list the shareholdings of entities which own over 3% of the company, and lists 36,385,200 shares in this category.  Shares held by entities with less than 3% of the company’s shares, such as the £700k-basic-per-annum-Ramsdens-Cup-flop McCoist, are on top of this 36million.

The prospectus also notes that if the issue is fully subscribed the new shareholders will own 63.3% of shares, not the 53.6% my calculator suggests (existing shares: 33.4152m, placing: 24.242875m, offer: 14.285714m).

Charlie Green is paying £2.5m for this issue, perhaps the cost of a calculator would have blown the budget.

Most curiously of all, the identity of those behind Blue Pitch Holdings, remains undeclared.

    Mate back in Dublin had a shop for over 30 years, he never cared about who would win a race, a game, he always said he wanted to know who was sure to lose, he could offer much better odds on them, it made him a very rich man.

     

     

    As I said, it’s the greed that gets us, if we were all happy to wager a pound and walk away with a pound and maybes 20p,on top, there wouldn’t be too many bookies shops around.

    The story I heard, as told by Rod in an interview, was Jock Stein told him all about Celtic, Kenny Dalglish was there too, as were other players, but it was the Big Mhan who sold the club to him.

    Efe, I am hoping, will make sure Victor stays at Celtic for a long time. ;))

     

     

    All of this can’t be coincidence.

     

     

    Wednesday night, if Victor was available then the switch would have been made to counteract the excellent Spartak forward.

     

     

    Alex Ferguson wants Neil to replace him, he isn’t daft. I think Neil will be here for the next 2 decades though but will give Fergie a few excellent Bottles of Red over the next few years. ;)

    You’ll notice when he starts he’s like Moses, the Red Sea parts and he just keeps moving into the space, teams are no set up to deal with it, they’re no sure what to do, he’s going to score a cracker soon taking the ball and running into the space, big Roy used to do the same.

    Like I said big Roy done it for years and even got a couple of goals, efe IMO is a bit better than big Roy, so he’s due some similar goals, more in fact, come to think about it maybe he’s no as good as big Roy :oD

    What Neil has overcome will not be lost on someone like Fergie.

     

     

    I think Fergie would step down at the end of the Season if he thought Neil would take over, contrast that with Mourinho who is desperate to get the Man U job, and has been for years.

     

     

    As I say I think Fergie cares very deeply about that Man U job and wants to pass it on to someone even better. This is a man who’s love for Jock Stein is obvious.

     

     

    I hope we face them in the Semi’s or even better still the Final as it would be an amazing Event.

  12. I believe that Rod visited a Scotland training camp when Kenny was still at Celtic and it was he who introduced him to the Wonderful World of Celtic.

     

     

    The next time I meet either, I’ll confirm and report back.

    Aye, you could be right, swalex has massive respect for Jose, but I also think he sees Lenny as a young pretender as well, but I very much doubt he sees him as good enough to take over at manure next season.

    I’m not so sure if Swalex likes Jose as much as it is portrayed in the media. Roy Keane was very strong in his admiration of Jose but I am not sure why he was saying that, if he was hitting at Swalex or just genuine praise of Jose.

     

     

    I will get back to you later on this evening as the guy I’m working with has been out drinking with Swalex (back in Buddies days) and a few other characters in Glasgow.

     

     

    I think there is a much more genuine friendship between Arsene and Alex than Jose. It’s all mind games though at the end of the day. ;)) Neil has merely been introducing himself. :)

    He will price the 3 possible outcomes of any game to give himself a measured % profit.

     

    Only if YOU know something that he does not know, it happens occasionally, then the figures will guarantee him a profit.

     

    The chances of you knowing more than the odds compiler are virtually negligible.

     

    On the occasion that you DO know something which swings the odds in your favour, then bet that particular game only, as heavily as you can afford.

     

    Betting ONE game only, if you are very knowledgable or very well informed, MIGHT see a patient man hold his own.

     

    The more selections you bet on, the more the odds will exponentially escalate against you.

     

    There are NO shortcuts.

     

    Anybody who makes multiple selections would be as well simply DONATE their money & save the anguish of all the hard luck stories.
