Celtic fans get stuck into our reason for being, nomad moot

Congratulations to The Kano Foundation for their magnificent fifth annual charity dinner on Saturday.  The Kano story is beyond incredible and a credit to those who call ourselves Celtic fans – whether you are involved with them or not.

Well done also to everyone who participated in the Celtic Foundation Zip Slide across Celtic Park on Saturday, in aid of children’s’ charities.  It was exhilarating and is sure to be repeated.  A weekend without Celtic and hundreds of Celtic fans get stuck into our reason for being.

They can blame the last guys for the lack of commercial revenue streams, or for paying incompetent coaches too much money.  They can even blame them for over-ambition when it came to funding the playing squad, but for all of its short corporate life, Rangers International PLC’s previous board members have been able to produce accounts on time and all received approval from authorised nominated advisers.

If the new board members are unable to deliver a nominated adviser, blaming the old board, as one newspaper tried today: “largely because of the scorched earth policy implemented by the previous board in the last days of the Mike Ashley empire – they must do so before the City shuts down for the Easter holiday”, would be both dishonest and a very worrying (for some) departure from a company which seeks to build its corporate reputation.

This entire question should be moot.  Mike Ashely didn’t need to be on the newco board to exert the control he needed with an 8% share and neither would Dave King.  King could easily take a back seat and appoint trusted men of stature who would breeze the nomad requirements.  We can only speculate as to why King NEEDS to be on the board, and don’t count on anyone who can get close enough to King, or his PR, asking this question.  The entire uncertainty is an unnecessary nonsense.

    I think the deal that took Alan Hutton to Tottenham Hotspur was particularly ‘clouded’ even for Rangers as it was connected with ENIC who had a controlling interest in the deceased club, and Spurs at the time.

     

     

    I doubt that there is any evidence whatsoever that 9 million of the alleged transfer money actually physically changed hands.

     

     

    Not even if they’d used the Keith Jackson calculator.

    If you take the Hutton money out of the calculation of how much they spent in 2008 to build the 3iar team then the £10m net spend rises to around £18m.

     

     

    The total spend was around £29m. The assumption is they must have got something for Hutton to cover the arithmetical difference.

     

     

    The tax bills arrived Feb to April 2008.

    The ‘only’ memeber of the media to ‘question’ the Hutton valuation was…Gerry McNee(hunskelper extraordinaire)…this happened during the Scotsport highlights of…Rangers 0-3 Porto in the CL as, the huns were knocked oot the CL and dropped into the Uefa Cup on their way to wrecking Manchester.

     

     

    Anyway…McNee was in the studio and…I’m no sure if it was, Andy Walker?…Fraser Whishart?…Mark Hateley?…McNee said -“The folk who value Hutton at £10mill really need to take a good look at themselves.”

    Thought Wilson looked excellent when he started playing for the FOD and was glad he left.

    These conditions, along with the details provided in note 2 to the financial statements, indicate the existence of a material uncertainty which may cast significant doubt about the company’s ability to continue as a going concern. The interim financial statements do not include adjustments that would result if the company was unable to continue as a going concern.

     

     

     

    Emphasis of matter – uncertainty in respect of possible litigation

     

     

    In forming our review conclusion on the financial statements, which again is not modified, we have considered the adequacy of disclosure made in note 16 to the financial statements in respect of the uncertain outcome of the potential litigation claim following the letters received as detailed in note 16.

     

     

    The company is satisfied through formal investigations as detailed in note 16 that the allegations have no legal merit. Since 30 May 2013 the company has had no communication from Mr. Whyte and Earley or from their legal team. Ultimately, the final outcome of this matter cannot be reliably determined and as a result the interim financial statements do not include any adjustments in respect of this matter.

    Mixed opinions on here regarding Henderson, maybe regular games will do him good though I personally would like to see him get them with us. The previous Board chose not to announce this nor did they find a replacement for Deloitte. With limited time to have these results reviewed the Board asked Jeffreys Henry to perform the exercise as Independent Reporting Accountants, not auditors.     Yup I see what you are saying, but there is much much more in there in my opinion.

     

     

    Later I will try and go through it and highlight some of the questions that jump out at me but for starters the oul brain screams about what is being said and what is not being said.

     

     

    Remember that this is a stock exchange statement, a regulated body, where transparency and financial and ethical propriety and clarity and required for continued membership under the watchful eye of a nomad.

     

     

    As at the date of the releasing of this statement there is no nomad and there has never been any nomad during the period of Paul Murray’s tenure with this company.

     

     

    So who, if anyone, cast an eye over the contents of this statement and the documentation which backs it up?

     

     

    Going further, the statement is of no merit whatsoever if the company is delisted from the exchange in the next two weeks if there is no nomad in place within the statutory period.

     

     

    At that stage what you have is a private ltd company with no auditor and no audited financial statements — and instead what you get is a private ltd company with interim financials showing a trading loss which the statement says the directors are confident they can trade out of over a seven — yes SEVEN — year period.

     

     

    There is also no detail about where any new finance is coming from or who is providing it or how much is being provided or on what terms?

     

     

    In the event or dergegulation that will all remain private.

     

     

    However, of greatest significance is the statement about who and what Rangers are, why AIMS investors should invest in the current club which is paraded as being the dominant club in Scotland in historic terms.

     

     

    Whilst not for the moment, everything within me says that this is a loose legal statement and to be honest it is one which is wholly unnecessary in this context and in this forum.

     

     

    If I were giving legal advice to this company and such a draft statement were run by me, I would honestly be asking ” do you really want to say that?” because if you do and it is challenged, commented on or whatever and you are forced to qualify or retract it — then in the eyes of your own market, shareholders, customers and so on you are knackered.

     

     

    When making any public statement the best legal example comes from the case of Oscar Wilde v the Marquis of Queensbury where Wilde sued for libel when Queensbury called him out as a homosexual ( he actually used worse language ).

     

     

    There is no doubt that Wilde was right on moral grounds, on ethical grounds, and in every way except one and that was that at the time technically it was still illegal to be homosexual and it was an offence according to the law of the land.

     

     

    He lost the libel case as it was not fought on the grounds he and his team thought it would be. The question for the court was simple – Was he homosexual or not – yes or no?

     

     

    In the end, Queensbury’s reputation was damaged and if I remember correctly he was forced to pay damages of one penny.

     

     

    However, Oscar was found by the court to be a practising homeosexual and as such was breaking the law and the law had to be seen to be applied without grace or favour.

     

     

    The result was trial, conviction, two years in Reading Jail, ignominy, financial ruin, ill health, ostracisation and exile to France upon release, and irreparable damage to his lifestyle and standing during the remainder of his life.

     

     

    Lesson:

     

     

    Never make a public or private statement unless you are prepared to back it up in a court of law and take responsibility for the legal consequences of the statement made.

     

     

    And never start a legal process unless you can and are prepared to live with the legal consequences of that process in the event that you either lose or that a court places a different interpretation on matters than the one you intended.

     

     

    In this case, there is much in that Rangers statement that is questionable and has consequences for investors, employees, former directors, and everyone involved in Scottish Football.

     

     

    Having just come in the door, I would have advised Paul Murray to say what had to be said to be compliant and very little else.

     

     

    Clearly, others have a different view and a different agenda and the question for me is:

     

     

    Why say all of that when it is not necessary?

     

     

    The only answer can be that the company will not be a member of AIMS in a couple of weeks and the truth or otherwise of what is stated here does not matter a damn.

     

     

    Or so they think.
