TRFC submit incomplete Annual Return

Companies House published the long overdue Annual Return for The Rangers Football Club Ltd (previously Sevco Scotland Ltd) today.  Although only received by Companies House yesterday (12 Sep 13) it was dated 29th May 2013, however, the submission was incomplete.

A company is required to detail all their shareholders since their previous Annual Return (or as in this instance, since formation).  Companies House say the Annual Return must detail “the name of every shareholder (or joint-shareholders) who has ceased to be a shareholder since the made-up date of the previous annual return (or in the case of a first return, since the incorporation of the company)”.

The only shareholder detailed on this Annual Return is Rangers International Football Club PLC (RIFC PLC).  RIFC PLC was not formed until 16 November 2012, nearly four months after Sevco Scotland Ltd was formed, so could not have been a founding shareholder.

And there’s more…….

The Rangers Football Club Ltd issued a Statement of Capital to Companies House, dated 31 October 2012, showing the same number of shares in issue as this Annual Return (33,415,200), some two weeks before Rangers International was formed.  The Statement of Capital was submitted by Caroline Nicholls of Field Fisher Waterhouse LLP, who should be in a position to assist the directors.

I’d never really given any consideration to who owned Sevco Scotland Ltd  prior to the shares being consumed by Rangers International, but this omission is curious.  The story will move on now with auditors Deloittes taking centre stage.  They have plenty on their plate prior to signing off the PLC’s accounts so may be happy to turn a blind eye to the reporting requirements of a subsidiary company.  Companies House already have an active issue over submissions for Sevco 5088 Ltd, it remains to be seen whether this one passes below the radar.

This is all so unnecessary as I am sure the correct information would be perfectly appropriate and in good order.

Can you imagine what we would be doing if our ‘club’ was being run in this manner?  This story is being played out while all those who should be asking questions are being distracted by a player betting against his own club!

In the grand scheme of things it doesn’t matter if Ian Black hedges against himself, or what embarrassingly light punishment he receives.  The real story is so much bigger, it is being written in large type, visible from the moon landings, but the football authorities appear happy to stand back and let events take their course.

No looks of surprise next time around – from anyone.

    One of the Murray Group companies was Rangers Football Club plc (“RFC”),whose financial stability was known to be threatened by (among other things) tax debts,or at least claimed tax debts. As is well known, RFC collapsed into administration in March 2012, followed by liquidation in October 2012. It has been re-named RFC 2012plc.

     

    The greater part of its business, and with it most of its assets, were purchased from the administrators in June 2012 by Sevco Scotland Ltd, which has since been re-named The Rangers Football Club Ltd. Although the professional football team known as Rangers had played in the Scottish Premier League until 2012, the collapse led to the ejection of the team from that league, and a team known as Rangers now plays in the Scottish Third Division

    started this process. Firstly, Walter Smith

     

    resigned as chairman and secondly, the board

     

    informed us that the Easdale family had

     

    secured control over a significant minority of

     

    the club’s shares.

     

    “As a result we came to the conclusion that

     

    the best way to secure a stable board and

     

    avoid further shareholder challenges was to

     

    negotiate a compromise with the board.

     

    “We have engaged in compromise discussions

     

    for the last three weeks. A key element of any

     

    compromise was that we could not give any

     

    guarantees to the current board members. It is

     

    democratic and fair that all directors, existing

     

    and new, will have to offer themselves up for a

     

    re-election vote at the AGM in October.

     

    “On this basis we agreed a compromise

     

    agreement with the board but on Monday

     

    evening they informed us that the Nomad,

     

    Strand Hanson, were refusing to approve it.

     

    Despite repeated attempts by us, Strand

     

    Hanson have refused to engage with us to

     

    explain the reasons for their stance.

     

    “With compromise impossible we have

     

    continued discussions over the last few days

     

    with a view to combining the AGM and the

     

    GM. These discussions broke down on

     

    Wednesday when the board refused to agree to

     

    our request that no further board members

     

    could be appointed in the run-up to the AGM.

     

    Without this protection Paul Murray and Frank

     

    Blin would have been uncertain as to what

     

    board they might be joining. As a

     

    consequence, Frank Blin will not seek election

     

    to the board and will have no further

     

    involvement.

     

    “In addition, the board informed us yesterday

     

    that Strand Hanson were not prepared to

     

    support Paul Murray’s election to the board at

     

    the AGM. Yet again they have refused to

     

    engage with us to explain their reasons.

     

    “On the basis of the constantly changing

     

    circumstances and the lack of consistency in

     

    people’s positions we have therefore decided

     

    to withdraw the requisition. We have done this

     

    on the condition that the AGM is held no later

     

    than 31 October.

     

    “We now believe that the AGM will provide the

     

    platform for the shareholders to decide who

     

    should lead the club. All the directors will

     

    have to offer themselves for re-election and we

     

    would encourage all shareholders to vote and

     

    show whether they have confidence in the

     

    current board or not.”

     

    Press Association Sport contacted Strand

     

    Hanson but were told no-one was available

     

    for comment.

     

    The company was appointed by Rangers on

     

    July 9, replacing Cenkos Securities, on the

     

    same day as former chairman Malcolm Murray

     

    and Phil Cartmell left the board and James

     

    Easdale was appointed.

Not acceptable in any way to attempt to profit from fellow Tims, only our illustrious PLC can do that. If you can’t go to the games pass on the tickets at face value to another Tim otherwise you’re a total d**k of the 1st order.

Just got my new season card in two weeks since i applied for it ,second time round..too late for champions league tickets though..gutted is an understatement called the ticket office earlier and young girl kept telling me they were sold out…i you dont say..ticket office told me i should have came in last week even though it wasnt fully processed yet and i would have got one..aaaaaŕrrrggggg!!!!!

    I take no offence to your accusation that I was aiming at the wrong targets on CQN yesterday. Those were just the people who had pissed me off and I aimed at them. I do not consider KevJ’s mince to be in any way important, in the grand scheme of things, but I still consider it detrimental to the well being of this blog, as those are two separate issues.

     

     

    For the avoidance of doubt, my reference to Planet Tinfoil, was strictly for TSD and his wild right wing sites. You and petec know that I do not have any fondness for most, and I mean most not all, conspiracy theories.

     

     

    I take a sceptical view of most things but not a cynical one. I believe that there are bad people out to get us and that some of them even organise into groups but I do not ascribe to secret lizard people, alien abductions, New World Order (its mostly the age old order of the rich and powerful), Zionist World Rule (that red herring has a dubious provenance), or Millennial Last Day on Earth thinking.

     

     

    Most of the bad things that happen are, I believe, a combination of bad people on all sides and cock ups. That said, I know you were disappointed that I used the term moonhowlers to describe the more anarchic ramblings of the night shift but I do not mean to tar all of them with the same brush or even to diminish their contribution per se. I do not share a fondness nor indeed, a great interest in many of the topics discussed there but I respect your right to have your own targets.

     

     

    Finally, in the spirit of appreciating the criticism, I do accept that I can become distracted by lesser matters. I will return to the more important consideration of where our club is going and how it is handling itself in this corrupt atmosphere again in the future but I cannot promise that I will not be distracted again on to lesser topics as the mood takes me.

    I am sorry that we do not have the potent weapon of a fit James Forrest to play in Milan.

     

     

    I am at odds with general Celtic fan opinion in stating that James Forrest and Fraser Forster, our two most recently heavily criticised players, are two of our most talented players and will fetch the largest transfer bids in future transfer windows. I have heard nothing but praise from opposition coaches, guys actually employed in football, about the threat from wee James.

     

     

    I hope he gets back to full fitness and kicks on to achieve all his frightening potential.

As i have stated just being back in the scottish top flight is no use to them , they have to be in the champions league , so we know whats coming . Peter lawell in the mix is also a concern to me . Make no mistake mother theresa , martin luther king . And nelson mandella . Joining the governence of scottish football Wouldnt stop what going on . We fans are playing a fruit machine trying to hit the 3 bells jackpot , with only two bells on the machine , i have had enough , till the corruption is fixed.
