TRFC submit incomplete Annual Return

Companies House published the long overdue Annual Return for The Rangers Football Club Ltd (previously Sevco Scotland Ltd) today.  Although only received by Companies House yesterday (12 Sep 13) it was dated 29th May 2013, however, the submission was incomplete.

A company is required to detail all their shareholders since their previous Annual Return (or as in this instance, since formation).  Companies House say the Annual Return must detail “the name of every shareholder (or joint-shareholders) who has ceased to be a shareholder since the made-up date of the previous annual return (or in the case of a first return, since the incorporation of the company)”.

The only shareholder detailed on this Annual Return is Rangers International Football Club PLC (RIFC PLC).  RIFC PLC was not formed until 16 November 2012, nearly four months after Sevco Scotland Ltd was formed, so could not have been a founding shareholder.

And there’s more…….

The Rangers Football Club Ltd issued a Statement of Capital to Companies House, dated 31 October 2012, showing the same number of shares in issue as this Annual Return (33,415,200), some two weeks before Rangers International was formed.  The Statement of Capital was submitted by Caroline Nicholls of Field Fisher Waterhouse LLP, who should be in a position to assist the directors.

I’d never really given any consideration to who owned Sevco Scotland Ltd  prior to the shares being consumed by Rangers International, but this omission is curious.  The story will move on now with auditors Deloittes taking centre stage.  They have plenty on their plate prior to signing off the PLC’s accounts so may be happy to turn a blind eye to the reporting requirements of a subsidiary company.  Companies House already have an active issue over submissions for Sevco 5088 Ltd, it remains to be seen whether this one passes below the radar.

This is all so unnecessary as I am sure the correct information would be perfectly appropriate and in good order.

Can you imagine what we would be doing if our ‘club’ was being run in this manner?  This story is being played out while all those who should be asking questions are being distracted by a player betting against his own club!

In the grand scheme of things it doesn’t matter if Ian Black hedges against himself, or what embarrassingly light punishment he receives.  The real story is so much bigger, it is being written in large type, visible from the moon landings, but the football authorities appear happy to stand back and let events take their course.

  1. how come there seems to be an Irish centre in just about every bloody major city in England but not one in Scotland.

     

     

    think celtic should be getting the finger out and making sure celtic park is at the centre of Irish culture/ history in Glasgow.

    The question was asked where is Cali. Rd. so I said from Cathcart Rd. head East to Shawfield, if you try that it will work trust me, the pedantically minded then chip in, aweeee nawww, and start naming pubs that are not there, so if someone heads up that way looking for those pubs they are gone, no longer there, there are people on other web sites where I do not go into, saying that they support a club that no longer exists, hey! Be careful out there, be very careful.

    Happy to return to this after the game but……

     

     

    For a start I don’t agree at all with the way that the club have handled the Green Brigade, whilst at the same time I have to say that I also think that the Green Brigade have to also wisen up in many respects.

     

     

    But that is a debate for another time.

     

     

    What I want to say at the moment is that I read the Herald piece, and in particular the GCC comments.

     

     

    My immediate take was different to yours from the comments made by GCC.

     

     

    I spent over twenty years dealing with GCC in relation to all sorts of licences and certificates necessary for one business or another.

     

     

    All they have said is that Celtic acted under their own powers and that the decision was Celtic’s alone.

     

     

    That is very different to GCC not being involved.

     

     

    I have seen many a meeting or set of correspondence, where GCC as the licensing body or the health and safety body have — let’s say– more than indicated that it would be in the best interests of a business to do this or that either on an ongoing basis or on a temporary basis.

     

     

    As an adviser to numerous businesses who were dependent on GCC to be able to open for trade, I always advised on the consequences of ignoring the noises that were coming from the City Chambers.

     

     

    For example, the loss of a liquor licence could see a premises closed for many months with a resultant loss of income.

     

     

    That spells disaster.

     

     

    Now, I don’t know what happened with the Green Brigade but for the council to say that Celtic acted under their own powers and steam ( end of story ) means nothing to be honest.

     

     

    It is like a big Highland Policeman telling you to “Move on” from an incident. Ultimately you do move on under your own steam and using your own judgement, but the move on comment is more an order than a request.

     

     

    Anyway, I am away to enjoy the game and hopefully see some Pukki in the second half!

    and would you believe it, after it was proved… in open court… that the police supressed evidence to convict innocents… the police who lied and deprived the innocents of a life… well they walked free never to be heard from again.

    I am no board lover and unlike many I have no issue with political signing etc… at celtic park. the agenda to separate sports from politics is ridiculous because politics is life and why should people not be allowed to express opinion, so long as it does not harm others.

     

     

    but when behaviour gets celtic fined i.e. fuck uefa banner and flairs etc… in the crowd that cost the club and essentially the supporters and drugs us through the dirt by sullying the club’s good name
