SPL propose rules for Newco FC

We told you back in October last year that Rangers were likely to be liquidated and a Newco FC would be formed, which the SPL would vote back into the league.  Today the SPL issued terms of how the deed will be done as they issued 8 resolutions to be voted on later this month.

The key resolution is 2A, which establishes a procedure to phoenix a Newco into the place of an ex-club.  Crucially, this resolution only requires the support of 8 SPL clubs, all 12 of whom will be eligible to vote at the meeting.  5 clubs would be needed to block this proposal and right now there is only one willing to do so.

Resolutions are as follows:

Resolution 1 proposes an increase in the sporting sanction (points deduction) on any Club which suffers or is subject to an Insolvency Event from 10 points to the greater of 15 points and 1/3 of the Club’s SPL points in the preceding season.

This resolution increases the penalties imposed following an insolvency event, it requires the support of 8 clubs to be carried and should be supported.

Resolution 2A proposes further sporting sanctions in the event that any Club undergoes an Insolvency Transfer Event (i.e. transfers its share in the SPL to a new company where this occurs because of the insolvency of the transferor) of 10 points in each of two consecutive seasons from the Insolvency Transfer Event.

This resolution provides for an ‘Insolvency Transfer Event’, defining what happens when a club ceases to exist and a Newco FC is formed.  No provisions currently exist for such a scenario and I see no reasons to introduce any.  The resolution requires the support of 8 clubs to be carried and must be opposed.

Resolution 2B proposes revisions to the fee payment arrangements i.e. SPL fees to any Club which has undergone an Insolvency Transfer Event will be reduced by 75% in each of three consecutive seasons from the Insolvency Transfer Event.

This resolution provides for a financial penalty in the event the Insolvency Transfer Event resolution is voted through and requires the support of 11 clubs.  This is an outrageous and arbitrary increase in support required to impose financial sanctions.  All an Insolvency Transfer club needs is the support of one other club to halt financial penalties.

If resolution 2A is passed, resolution 2B should be subject to the same voting criteria and must be supported.  The SPL must ensure a financial penalty is imposed for financial misdeeds.

Resolution 3 proposes extending sporting sanctions where an Insolvency Event is suffered by a Group Undertaking of a Member Club of the SPL (Group Undertaking is defined in Section 1161(5) of the Companies Act 2006).

This resolution confirms insolvency events at group owner level are applicable to the club, requires the support of 8 clubs and should be supported.

Resolution 4 proposes updates and extensions to the definition of Insolvency Event in the SPL Rules.

I assume this is an administrative requirement and needs the support of 8 clubs.

Resolution 5 proposes updates and extensions to the definition of Insolvency Event in the SPL Articles and clarifies the process in the event that a Member which is the subject of an Insolvency Event is required to transfer its share in the Company.

This is a technical resolution defining how clubs lose or transfer their share in the League.  It requires the support of 11 clubs but it is not clear if has any consequence, more than clarifying administrative procedures.

Resolution 6 proposes a specific requirement in the SPL Rules that Clubs must pay their Players in terms of their Contracts of Service on due dates and places a duty on any Club to report any failure to pay its Players in a timely manner to the SPL.  Failure to pay Players and / or to notify such failure to the SPL would be a breach of SPL Rules.

This resolution should enhance fair play, requires the support of 8 clubs and should be supported.

Resolution 7 proposes a requirement in the SPL Rules that Clubs report to the SPL any failure to make payments to HMRC in respect of PAYE and NIC (a Default Event).  Any Club suffering such a Default Event will be subject to a Player Registration Embargo.  Any failure to report a Default Event shall be a breach of the SPL Rules.

This resolution prohibits clubs in tax arrears from signing players, requires the support of 8 clubs and should be supported.

If only they would pay their taxes we would not need to bother with any of this.

  1. If a Rangers Newco is allowed to enter the SPL with only two years small punishment, there is only one thing we as a club can do – leave Scottish football for good. I hear some small talk of moving to Scottish Division 3 – why!?! In 3 years we’d be back to playing in the rotten ‘competition’ of the SPL. No, we need to leave Scotland completely and let them all die.

     

     

    Apply to join the Football League in England, even from the bottom of League 2 or lower leagues if that doesn’t work. Within 5 years we’d be playing either Championship or Premiership level and become a major footballing force once again. It might take a couple of seasons to even register properly, in that scenario just organise a string of high profile friendlies for the year. Its a sacrifice I would, and we would all need to make for the long term future of our football club if a NewCo is allowed back into the SPL.

     

     

    So the message is – Get out Celtic. Just get out and leave.

    He is always on the defensive. I really don’t think he’s up to this job as a panellist. he’s way too sensitive.

    On another subject ….would someone, like AuldHeid, please tell me to shut up……… I keep raising the fact that, no matter what happens, until ranker’s publish audited accounts, they should not be playing in ANY football league, let alone the SPL ……. Am I missing something !!!!!!?????

    I think we are all broadly aligned. We usually are. Think it’s a pretty messy situation though, and if it is the biggest challenge we’ve faced we will need to be calm and supportive… any anger must be well aimed and controlled.

     

     

    Briefly, Ernie, I know we shouldn’t talk…. however, if we must make the threat, I’d rather not know about it. At some stage, whether you like the board or not, you need to let them get on with their job – they won’t be checking it’s ok with you any time soon, and it’s much too late to hope that another, more perfect, board might take their place to guide us in this moment.

     

     

    And with that, I’m off again. Creeping CQN regrets… was I too harsh SFTB. Can’t tell whether you deserved it or not. Game of the season this weekend, I predict, hope you enjoy it.

    The best way to stop these proposals is to publicise them as widely as possible. Public opinion has to be brought to bear on the SPL, and from outside Scotland, as a large proportion of the population in Scotland will roll over and accept them, “for the good of Scottish football.”

     

     

    So who, outside of our parochial little cesspit of a backwater could be roused enough to even care about the proposals? Just some initial thoughts, in a thinking out loud kind of way:

     

     

    Would Sky want to be associated with a corrupt competition?

     

     

    Would HMRC/HM Government be content to sit back and see the SPL allow clubs to cheat the taxman with absolutely NO meaning consequences?

     

     

    Would UEFA, with their recent emphasis on financial fair play be content for a member association to allow clubs to run up over ONE HUNDRED MILLION POUNDS of debt, then liquidate and phoenix with a paltry points penalty, and retention of history?

     

     

    I remain convinced that the nuclear option is taking the SFA to court over it, but there are plenty of people who I think can be roused to bring pressure to bear on the SPL, if we can only organise ourselves to get the message to them, loud and clear.

    I have never had any faith in Platini/Uefa getting involved with ,what they will see as a “local difficulty”.The only way they will spill a wee drop of Claret,is if their competitions have been contaminated by the 2 contracts.How far they are willing to push it,who knows?.Teams like Porto etc who were cheated out of progression in CL or EL,will have to pursue the issue.

    They shouldn’t as there is a clear conflict on interests but why let that stand in anyone’s way?

  16. What I find mildly shocking in all this is its inevitability. There is always a naive part of us that clings to some notion of the higher ideal, despite the hard lessons of empiricism; as though we can never fully accept our “leaders” are irredeemably corrupt even if experience repeatedly proves otherwise. These leaders rapidly forget their representative status & when ushered into office they immediately assume a power privilege they do not possess in reality. But a combination of propaganda & peoples ( the represented- in our case the fans) morose apathy. We see this at present in the politico- economic sphere with the monopolising of the commodity markets by banks bailed out by metropolitan political elites. This is the world we live in. The law of the jackal. The good book aint no guide in this tartarus of flesh & bone. Macchiavellis “Prince” is this worlds road map. All we, the people, those who live for Love, Justice & Truth

  17. This is the biggest giruy ever visited on us . And as yet we fans seem to be the ones discussing tactics ,and what we can do to avert this total whitewash . I sincerely hope our leaders are planing what to do about this , but a wee sign that they are active would be a spur to us , let us know that they are onto it .

    We don’t sue the SPL, we sue the SFA, who have the ultimate responsibility for the governance of football in Scotland. The case would be that the SFA should be blocking the proposals.

    The litigation could run for years, and the threat of it would surely make the SFA think twice before allowing these proposals. Remember that they ultimately are responsible for football governance in Scotland.

  25. This process squares the circle – it makes them the same club in footballing terms but a different company in legal terms. The Newco gets to play in the SPL while having no responsibility for the debts.

     

     

    It makes no difference now whether the creditors agree a CVA or not. If they don’t the share is passed to the newco and the oldco will then be liquidated, meaning that they only get a small percentage of the amount they are owed in any case.

     

     

    Every single one of the 200+ creditors on the list will be conned out of at least 90% of what they are owed.

    I was lucky enough to be in 123 at the recent St.J game. Great view from the corner – was right up the back.

     

     

    Only downer was the rocket who seems to have empty seats all around him. I had assumed at first a bus hadn’t made it until I realised the empty seats are there to allow him to create a saliva moat as the game goes on.
