Indisputable mood to bring in the New

If you were lucky enough, like me, to enjoy a long Christmas holiday, I hope you had a good one.  I’m sure few of us are delighted to be back at it today but there’s an indisputable mood on the blog for bringing in the New.  A fresh start is needed and fortunately we’re at the start of the transfer window.

For Celtic most attention will be directed towards recruiting a striker who is capable of doing the business in the Champions League, not to overlook the important point of doing the business in Champions League qualifiers.  20-year-old Icelandic striker, Holmbert Fridjobsson, finally joins the club this month but although we’ll hopefully see plenty of the player this month he is surely considered ‘one for the future’.

One prolific striker does not solve all of Celtic’s issues, however.  The club remains acutely dependent on Kris Commons’ creativity (as well as goal scoring), which will become increasingly less-effective as opponents setup to inhibit him.  He needs a foil.

Since the annihilation in Barcelona Celtic have offered greater protection from midfield but with both full backs encouraged to overlap the midfield anchor role, previously occupied by Wanyama, becomes crucially important.  It also offers support to the strategy of allowing Commons a free role as an attacking midfielder.

Over the break, Archie MacPherson, Scotland’s greatest ever broadcaster, wrote an article for Celtic Quick News comparing two of Scotland’s greatest ever managers.  These debates are, of course, subjective, but the article provides a few objective points for consideration.  Archie has a totally unique range to deal with this question and is in no doubt as to who the master was.  Look out for the article next week, you’ll enjoy it – no guessing now.

    If memory serves, the blog was at its whimsical, hilarious best during the aftermath of the Mowbray massacre. At times like that, CQNers usually seek recourse to comedy as an outlet for their feelings.

     

     

    Compare and contrast to the recent past, in which we’ve experienced a sustained period of success, but in a stagnant environment sans competition. Problems of our own making have cropped up like weeds, and the devil has found plenty of work for humourless bloggers.

     

     

    I look forward with mild curiosity to watching Star Wars 7. Following the death of the evil empire, I bet Han and Leia divorce, C3PO enrolls for a pre-op, and Luke writes angry blog posts, all under the empty, sorrowful gaze of a hologrammed Hayden Christensen.

    ASA’s recent decision to allow RFC to continue saying “most successful club” despite legally only being in existence since 2012 has quite rightly angered many fans of most Scottish clubs & therefore would ask anyone who feels strongly about this to copy & paste a complaint to ASA’s chief executive(at email address below Press Officers name).

     

    It should only take a minute or so but believe the deadline for complaints is this Tuesday/or 21 days after ruling on ASA website on 18/12/13.

     

    In addition to the email if would be good if those that can,also post a hard copy to ASA 1st class on Monday.

    I know accuracy is very important to ASA as it’s very ethos/mission is:

     

     

    “Our mission is to ensure that advertising in all media is legal,decent,honest and truthful,

     

    to the benefit of consumers,business and society.”

     

     

    CAP Code 1.1 also states “Marketing communications should be legal,decent,honest and truthful.”

    Inaccuracy on ASA website as of 18/12/13

     

     

    A)The overarching premise of ASA’s position is that RFC club & RFC company were separate.

     

    Here are many examples of how club & company were never separate:

     

     

    -When the club incorporated in 1899 the clubs own Memorandum & Articles specifically

     

    stated club & company were to be considered “synonymous”,ie one & the same

     

    -UEFA’s FFP rules Article 12 state:

     

    Definition of a licence applicant:

     

    “A licence applicant may only be a football club ie a legal entity fully responsible

     

    for a football team participating in national & international competitions…”

    UEFA’s postion is club must be a legal entity,ie club/company one & the same

     

     

    -Sir Hayden Phillips also made the point “there was also the risk of a substantial flaw of

     

    adjudication in the distinction that had been made between ‘club’ and ‘company'”

    – the Upper Tax Tribunal(HMRC v RFCPLC) document from July 2013 by Judge Colin Bishopp said with regard

     

    to the status of RFC point 27 is very interesting where Judge Bishopp asserts a modern

     

    pro football club is a “commercial enterprise” & “has no special status”.

    -BBC Scotland is clearly of the opinion club & company are one:

     

    “A football club,once incorporated,is indistinguishable in Scots law from its corporate

     

    identity.

     

    If the club was separate it would need its own constitution,committee members,trustees,etc.

     

    Rangers Football Club does not have that because it is incorporated.”

    B)

     

    With regard to the Inaccuracies on ASA website as at 18/12/13:

     

    -RFC’s administrators(Duff & Phelps) clearly state in their CVA Proposal Report of

     

    29/5/2012 that under liquidation the “club ceases to trade”.

     

    This would clearly be at odds to whats printed in ASA’s assessment/ruling.

    “3. The sale consideration under the New Company scenario has not been apportioned.

     

    Under the Liquidation scenario, the club ceases to trade and therefore the player

     

    contracts terminate and registrations revert to the SFA and therefore may

     

    have no value. There is assumed to be no residual value in any Intellectual

     

    Property or Goodwill as the club has ceased to trade”.

     

     

    -Here’s RFCPLC(In Liquidation) Administrators(Duff & Phelps) clearly stating that

     

    without a CVA there would be “no trading history” in their Interim Creditors Report

     

    of 10/7/2012.

    “6.1 As set out in the Proposals,a CVA would have enabled the corporate entity

     

    formed in 1899 in which the business and assets of the Club vest,to continue to

     

    trade.This may have enabled the Club to continue to participate in European

     

    football as a UEFA requirement is to demonstrate 3 years of trading history.

     

    If the business and assets of the Club were transferred to a new corporate

     

    entity then there would be no trading history and therefore a probable UEFA

     

    prohibition on entering into European competition”

     

     

     

    It is not possible for a company to trade on history which simply has been concluded

     

    when that company went into liquidation.

     

    No trading history means exactly that,no documentation to prove any history in

     

    which to trade or advertise from.No accounts to refer or prove the history.It also

     

    states above the entity formed in 1899 does not continue after the failure of the CVA.

    -There are some inaccuracies concerning the ECA statement which appears on the ASA

     

    website:

     

    -the point about keeping the same registration number with the SFA

     

    would appear to be wrong.SFA have confirmed club memberships do not

     

    carry registration numbers.

     

    -With regard to ECA “considering” RFC is same club it’s not the same as saying

     

    legally its the same club.As regards their so called continuing membership that

     

    would seem to be wrong.As a result of liquidation the new entity had to re-apply

     

    for membership & consequently were awarded a downgraded membership(associate

     

    member with no voting rights),so to say they had a continuous ECA membership is wrong.

     

    It says here the “new entity had to re-apply for membership with ECA”

    -it also says that the club has the “same club-coefficient ranking”.

     

    How is it possible for ECA to verify this as it would ultimately be an

     

    UEFA decision.If & when the new entity qualifies for European qualification

     

    it would be unlikely the new entity would carry the same club co-efficient.

     

    UEFA’s FFP Article 50 states:

    “No overdue payables towards employees and social/tax authorities”

     

     

    Don’t think UEFA can ever claim new RFC is exact same as old club as they could never issue a

     

    Euro licence to clubs which have outstanding social taxes & especially as old RFC will have

     

    perpetual outstanding taxes which will never be repaid due to liquidation.So its very difficult to

     

    see how any future co-efficient points could ever be given to a “continuation of old RFC” as it will in theory

     

    always have outstanding tax debts.

     

    Do you have documentary evidence from either ECA/UEFA that current RFC will continue with the exact

     

    same coefficient when it returns to qualifying for European football?

     

     

    -The SPL Commission decison/view was made outside the confines of a court-room & in general a

     

    country’s rule of law(especially Insolvency & Liquidation law) takes precedence over football

     

    rules/opinions.The Commissions’ “views” are only opinions,and not legally binding ones.

     

     

    -with regard to the SFA’s view it is very difficult to see from ASA’s assessment/ruling where they confirm

     

    continuation of exact same club.The words “varied & sometimes” are hardly clear confirmation of

     

    RFC being the same club.In fact the SFA have never came out with an unequivocal statement confirming

     

    continuation of the same club.

     

    In fact had they been the same club,they would still be in SPL,would have qualified for Europe

     

    for 2012-13,& the players would have been unable to walk away from their contracts.

     

    Also with regard to SFA’s transfer of membership this wasn’t a seamless transfer.The asset sale took place on 14/6/12 but

     

    SFA membership wasn’t transferred until 3/8/12,by which time the new club under the name Sevco Scotland Ltd(name

     

    change to TRFCL never took place until 31/7/12) had played a game on 29/7/12 with a condtional SFA membership.

     

    Not a clear cut membership transfer the new club would have you believe & shows a clear break in continuity.

    -the old club used the law (ie Administration then Liquidation) to walk away from massive debts,including

     

    substantial debts to HMRC,leaving a trail of creditors,worthless shares & debenture-holders,so to now

     

    claim that the law doesn’t apply to the club & it continues on regardless is totally wrong &

     

    has no legal basis.

     

    Most people just want acknowledgement of the truth the old club was liquidated.For the reasons shown above

     

    the club was never separate from the company.

    …it is very surprising ASA has decided to make an exception for TRFCL.

     

    Normally it would seem ASA would take a very strong but consistent stance on rulings against

     

    companies & liquidation.

     

    Taken in conjunction with ASA’s CAP/BCAP codes it is very surprising therefore that ASA has failed to act in a similar manner with TRFCL despite:

     

    -the new company not taking on all debts/liabilities of old company

     

    -the new company not being able to demonstrate an uninterrupted & stable trading history.

     

     

    Summary

     

     

    If we accept the ECA and the independent SPL Commission view,are we to believe that an entity

     

    which has no legal existence,no legal definition or documentation and that entity is unrecognisable in a

     

    court of law and that entity has no legal accountability,with no trading history is allowed to

     

    claim existence in defiance of the Insolvency Act,the Companies Act and standard accounting

     

    procedures?

     

    I would ask you Mr Parker,as Chief Executive of ASA to reassess the information on the ASA website

     

    as of 18/12/13 as I would say there are inaccuracies contained therein..

     

    I would not wish the good name of ASA to be tarnished or valuable work undermined as the very ethos of ASA

     

    is “legal,decent,honest & trustworthy”

    The Tommo blog yesterday was simply shocking. As other have said the online abuse posted on the Huddleboard were out of order.

     

     

    Going on from that the rest of Alec Thomson’s blog was shockingly inaccurate and badly researched. Yes there have been some unsavoury incidents involving damage to stadia and some drunken behaviour from fans at a couple of games, Dens and Brentford(I wasn’t at either game but got 1st hand reportd from friends that were) spring to mind.

     

    My concern though is how these incidents have been seized upon by certain Celtic minded bloggers and then blown out of all proportion by these individuals, Thomson’s blog was obviously influenced by these individuals as we know he has a relationship with them. It disappoints me that they don’t appear to understand that their own blogs are influencing those supporters that don’t actually go to games and rely on these bloggers for their information.

     

    While we can never justify the idiots who make disgusting comments on forums, I think the blogger in question has to be taken to task for her styll on twitter, which is very confrontational and she has been called a troll on several occasions lately.

     

    Tonight she has compared herself to Neil Lennon and the abuse he suffered. I just don’t know where to start with that one.
