Milanese mistakes, Sevco Annual Return

705

Milan’s mistake with their Champions League squad – they inadvertently included Stephan El Shaarawy in their restricted A List of players, instead of the B List, denying a place in either list for M’Baye Niang, is welcome news. Their squad is strong, with or without Niang, but the oversight lends credence to the notion that a malaise has settled over the club. Director, Umberto Gandini apologised, but already the Milanese are focused on what they don’t have in their armory as a result of the oversight – an excuse for failure is ready made.

I met the owner of an IT company shortly before they went into liquidation and asked him who he had on his board.  “Are you not on our board too?” was his jocular response.  The company had already gone through a couple of difficult years.  With each passing period investors became increasingly concerned; they all wanted a place around the boardroom table, convinced that their gilt-edged experience would be able to guide the company through its troubles.

The chief exec had to cope not-so-much with a boardroom full of captains of industry (which they were), as another pressure group to satisfy, along with clients, creditors, staff and the bank (they may have been weeks from liquidation, but they still had borrowing, this was not a Metro Bank deposit account-only operation).

The chief exec understood the industry and, left to his own devices, stood a sporting chance at survival, but when the boardroom table became occupied by a parcel of rogues the game was up.

On a completely separate matter, I am delighted at the prospect of Paul Murray and John McClelland having a second shot at being a non-executive director of a football club.  Wikipedia’s definition of the roles of a non-exec is worth a cursory glance to indicate why.  They did so well last time.  The others, who it is proposed will share a place at Newco’s table, also appear perfect for the role.  If only Sir David would come out of retirement and join them.

Will one of the many directors insist that The Rangers Football Club Ltd submits its Annual Return to Companies House? Under its previous name, Sevco Scotland Ltd, The Rangers Football Club Ltd bought liquidation assets from Duff and Phelps, and which, according to Rangers International’ PLC’s interim financial statement in March, was incorporated into the PLC’s group.

The Return is over two months late.  Perhaps, with so many directors available for comment, one will be asked by a journalist or shareholder why the company which bought all the assets has not submitted basic information, revealing ownership details. Perhaps not. No hurry, a striking off notice will be weeks away.

I know there’s a few on here not fans of Ally’s managerial ability but I am and believe he should be there, meetings like this improve relations, can make players available that would sometimes not be and also it boosts clubs and peoples profiles.

I like the analogy. Five bedsit squats in the Old Kent Road versus The Savoy Hotel in Park lane.

I thought at the time of the ‘shame game’ that the myth encouraged thick Sally to exert authority over Neil. That was behind the sleekit whisper. Our Neil, being the man he is, put the thick sleekit coward in his place, and Sally knows it.

Companies House are not the only one’s waiting to get an idea of The Rangers financial situation. The SFA of course should have an interest in terms of granting even a Basic Level Licence.

Notwithstanding SPFL will have to replace SPL since they were published, the following rules are what clubs below the top tier are supposed to comply with under National Club Licensing 2013.

    Criteria

    8.11

    Annual Financial Statements

    Refers to the audited annual

    financial statements prepared

    according to the Companies Act

    1985 and relevant accounting

    standards (UK Generally

    Accepted Accounting Practice).

    ENTRY LEVEL Requirement

    Regardless of the club’s legal

    status, the club shall be

required to provide a copy of its

    annual financial statements which

have been approved by the club

    members at a General Meeting.

The statements shall refer to the

    year ended 2012.

    Clubs will provide this

    information as follows –

    SPL clubs – by 31 March 2013

All other clubs – by 30 April 2013

Comment You can see the difficulty the SFA must be having with this but there is more

    Criteria

    8.12

    Financial Information

Clubs are required to provide a

    summary of financial information

    drawn from the Audited Accounts

    submitted at 8.1.1.

=====> Clubs should be aware that this

    information will be made freely

available via The Scottish FA web site. <=======

Comment. Has anyone seen any details yet? Wonder why the delay?

All LEVELS (Gold down to Entry)

A club is required to submit a summary of financial information covering the reporting year for 2012 and the

previous two years i.e. 2011 and 2010 as detailed below.

Clubs will provide this information as follows –

    SPL clubs – by 31 March 2013

All other clubs – by 30 April 2013

Unless the 2010 & 2011 figures have not previously been provided the club only requires to provide the 2012 figures.

    Period Ended 2010 2011 2012

    Turnover £ £ £

    Wages (Total Payroll Costs) £ £ £

    Wages to Turnover Ratio % % %

Profit or Loss for Period £ £ £

Net Assets at Period End £ £ £

    Net Debt at Period End

Comment This is to give an indication of whether a club is living within its means or not

    Notes (or Get out Clauses)

In submitting this information, the club must give consideration to a relevant reporting perimeter i.e. the entity or combination of entities in respect of which financial information has to be provided. In particular the financial information must include all remuneration paid to any employees including players and any costs/proceeds of acquiring or selling a player.

The reporting perimeter shall also include any entities included in the legal group structure which generate revenues or perform services for the club in respect of ticketing; sponsorship and advertising; broadcasting; merchandising and hospitality; club operations; financing; use of stadium and youth operations.

In practical terms group accounts are not required. However financial information in respect of all individual entities within the above reporting perimeter must be provided.

Exceptional dispensation may be granted by the Licensing Committee in certain cases where a club is unable to provide historical financial information . <===== Clubs will be required to submit written reasons for such an exceptional request. Not wishing to disclose the information willnot be considered a valid application for an exceptional request however

Comment. The intent to publish and dispensation clauses are new since last year. The first to protect the SFA by saying this is what we were told and its not our job to check. This as a result of failing to check previous porkies told by at least one former member club requiring a 5 way agreement that failed to say stop telling porkies to us (the SFA).

I appreciate that publishing the rules only serves to annoy us because of the failure to apply them, but it is important that we all know just where the SFA are failing our game and in club licensing they are doing so big time.
