Who is the liar here?

You can Read All About It in Scotland’s former top selling newspaper this morning. The SFA and SPL have told Bill Miller he’s welcome into the top league in the country and there will be no additional penalties added to the club. The Daily Record tells us:

“Miller has been given assurances by Scottish football’s governing bodies that even though his survival plan involves a newco, Rangers will not lose their place in the SPL or be hammered with additional penalties.

“Administrator David Whitehouse said: “It’s my belief that is one of the assurances he (Miller) has received.””

Three Twitter comments from BBC correspondent, James Cook, yesterday afternoon captured similar information from the men currently managing Rangers:

“The administrators say they understand Bill Miller has assurances that Rangers will continue in the SPL with no further points deductions.

“Administrators say they understand Rangers will retain all previous titles and continue in SPL with no points deductions.

“Rangers’ administrators say the taxman is supportive of Bill Miller’s deal. HMRC say they have agreed to nothing.”

Mr Cook’s third Tweet contained the inevitable rebuttal from HMRC to the notion put about by Duff and Phelps.

As we reported yesterday, the SFA and SPL have given absolutely no assurances to anyone about further penalties, points deductions, inquiries or the removal of trophies found to be won by cheating. Yesterday’s statements caused agitation as SFA and SPL executives sought to reassure stakeholders they were untrue.

The statements also caused distress among many football fans (who frankly should have known better) and brought the reputation of Scottish football into disrepute.

Allowing misleading comments to be issued on your behalf is unwise, especially if the SFA and SPL will soon have to decide a variety of punishments you will have to endure.

Let me spell this question out as clearly as possible:

WHO IS THE LIAR HERE?

Rangers have been banned from registering players for 12 months for failing to ensure the man who bought the club this time last year was Fit and Proper to own a football club.  Are the same club now going to ‘sell’ the assets, including league share, to Mr Miller when the veracity of his claims to the club’s administrators has been unequivocally contradicted by the SFA and SPL?

If a 12 month ban is not stern enough to ensure a club finds an inscrutable new owner perhaps it should be doubled. If the SFA capitulate in the face of this evidence and reduce Rangers player registration ban they would be as well removing the pretence and accepting There Are No Fit and Proper Persons Criteria in Scottish Football.

Rangers are committing the same offence in full sight of the SFA – and they don’t care who knows it.

  1. That Andrew Smith article in the Scotsman is wanton drivel.

People are not assets to be bought and sold. I believe that was abolished quite some time ago. They are entitled to decide if they want to play for NewCo. This cannot be enforced upon them.

Could you explain ‘the floating charge attaches (crystalises)’? ‘

A floating charge ‘floats’ over the assets of a company. The company can sell those assets. That’s what’s so useful about a floating charge, it lets a company go about its day to day business, trading, buying and selling etc without having to get assets released by the charge holder. To protect the charge holder though the floating charge attaches to assets or ‘crystallises’ on certain events, where the charge holders security may be at risk. An application for a winding up order causes a floating charge to attach, though an Administration order doesn’t.

If D&P seek to move assets out of old co and Whyte doesn’t move to wind up the company his floating charge becomes worthless because there will be nothing left for it to attach to. If that happens then you have to suspect he’s in cahoots with Miller. And you’d wonder if Ticketus aren’t also in on the deal.

  7. From the last article.

I can’t believe some people are saying that Mark Wilson has not been a great sevant to Celtic. The Bhoy always gives 100% and has talent to go with the effort. He has been shifted about to different positions and always copes well and very seldom lets Celtic down.

He played with a broken bone in his foot for more than an hour against Manchester United in the CL and is one of the old school types of players who just wants to play the game.

He has been a great stand in captian for Celtic at times and has never been in any sort of trouble off the park. If all the players showed the same level of passion, commitment and energy as Mark Wilson we would have maybe won more honours in the last few years.

I wish the Bhoy well where ever he ends up and hope he has a succesful career.

Mark has won 4 Championships, 2 League Cups & 2 Scottish Cups with Celtic and I’m sure he will be back at Paradise in the future as a supporter.

I personally would keep the guy as the more supporters we have on the pitch and training ground is a good thing.

Uefa have made the following statement pertaining to newcos: “Clubs are not allowed to change their legal form or structure in order to obtain a licence, simply by ‘cleaning up’ their balance sheet while offloading debts – thus harming creditors (including employees and social/tax authorities) as well as threatening the integrity of sporting competition. Any such alteration of a club’s legal form or structure is deemed to be an interruption to its membership of a UEFA member association and, consequently, three years must pass before a club can apply again for a UEFA licence. In other words, the three-year rule is designed basically to avoid circumvention of the club licensing system.”

The Uefa stance is clear and unequivocal on how it treats any newco created to shield a football team from any financial or regulatory ills experienced by the organisation from which it sprang.

“If a club sets up a new company simply to avoid paying its debts or obligations then they would almost certainly fail the three-year rule [for obtaining the required Uefa licence],” a spokesperson for Uefa told The Scotsman.

“This is to ensure clubs do not simply create a ‘newco’ and leave the previous entity in charge of dealing with debts.”

Wouldn’t it be logical for the SFA and SPL to apply these very same rules to the domestic license?

  9. The Scotsman artcile says: “The registration rests with the club, not a limited company,” said the source. “There is a question how you define a club but, if a newco acquired the league share, it would be the club.”

It is difficult not to get into the territory of philosophy – what is a football club?

But sticking to the legality of the matter, the SPL’s Articles of Association are clear:

“A Share may only be issued, allotted, transferred to or held by a person who is the owner and operator of a Club and if a Member shall cease to be the owner and operator of a Club then such Member shall cease to be entitled to hold a Share.”

And, in employment law terms, the players do not work for a Club – they work for the operator of the club. At present this is Rangers FC PLC (in administaration).

Whyte has a floating charge, we know as we saw the MG01 moving it to Liberty Capital. If D&P try and move the assets without Whyte’s say so, well we will have another tasty court case on our hands. If they move without the court then it is only by Whyte’s rubber stamp.

Let’s start on a happy note – THE THAI TIMS who ,with their enthusiasm and joy raised the whole spirit of the stadium, reminded us last night what Celtic Football Club is all about. On a more sombre note; How can these ‘so called’ administrators describe Miller’s bid as ‘unconditional’ when it is littered with conditions and can’t get off the ground until they are met. And finally,I can understand folks’ anger and frustration at the chaotic manoueverings going on, but I think it would be sad and foolish for any Celtic supporter to punish our own club for the disgraceful behaviour of others.

  13. Ellboy - I am Neil Lennon, YNWA. on

My only comfort in this whole charade is if this is even a possibility then surely a queue of people would be lining up to takeover a debt free Rangers. The way this has been structured, it’s the deal of the century.

Of course this underhanded scenario could have been the plan of all along, which is why noboby else thought of such a scam.

  14. In any case, this “the history follows the share” argument makes no sense.

Hamilton’s SPL Share was transferred to Dunfermline at the end of last season. Did Dunfemline inherit Hamilton’s history and lay claim to any trophies they had won?

A Newco can operate a new team. It might to transferred a share from an old team – but it can’t inherit its history.

As Hungate rolls on and on, the message to timmy is loud and clear, in a way it never has been before. As far as Scotland is concerned, RFC ARE Scottish football. We are witnessing their preservation and conservation unfolding, and at ANY cost. When you consider the lengths Salmond, Doncaster, MSM and many others have gone to, just to save this shameful football club, it makes you wonder how on earth Celtic FC actually managed to prosper in this country. As far as I see it, much of the scullduggery and rule changing is only done to avoid Celtic being the dominant force for a long time.

When I consider what has gone on in Scotland for 120 years, its remarkable that we have managed to win 43 leagues and 32 Scottish Cups. How many more would it have been on a level playing field? Even our world wide reputation is something they can only dream of. Its not so much that the huns have shamed themselves, which they have, its the way CFC have put them to shame. Against all the odds, we have achieved a status RFC will never come anywhere near. And they know it. Their hatred of us is borne out of sheer envy.

  16. Hi Paul,

The Daily Record has been a fairweather friend to the R@ngers’ support.

It seems to me D&P are treating soccerball with distain.

If they were administrators to a company covered by the FSA they would be compliant.

If it was a Pharma business the FDA rules would be followed.

Why do they think they can make up the rules for Football? Even the tone of their statements seem to echo the terraces rather than Professional codes and practices.

Ernie, thanks for clarifying the position of the Floating Charge holder.

While I rather doubt that Craig Whyte has the depth of pocket to defend his position in an extended court case, ‘;m pretty sure he could russle up a few grand to put Counsel in front of His Lordship this afternoon if he was so inclined.

If he doesn’t, it indicates that he does indeed have an interest in the Miller transaction.

The position of Ticketus is a little more interesting isn’t it. They’ve got £27M riding on this. I’m surprised they haven’t already initiated proceedings in the English courts to establish ‘trust’ on the seats. In any event, they are rather unlikely to roll over for a £27M tummy tickle.

The idea that the entire set of circumstances, from financial to legal to employment rights to football regulation will be resolved by close of play next friday is preposterous.

    I’m calling it …

I notice your reference to the legal fees CW would have to find for future coourt proceedings. I don’t know if you noticed that one of RFCIA’s creditors is Dundas & Wilson, one of Scotland’s best known firms. They were done out of approximately £40,000 for helping ole CW in his recent court cases. Furthermore, an element of this will no doubt be for the costs of Counsel which will be an irrecoverable outlay.

I would expect that if CW needs legal help in the future, he will be asked to stump up a heck of a lot more than a few grand. I would be looking for £50,000 in advance. As there has been little heard from our hero concerning the Miller deal, I expect that CW is unlikely to need the services of any firms in Scotland in the foreseeable future, assuming that after he has stiffed 2 sets of lawyers for fees they would be willing to represent him.
