AGM report, Living Wage, Rory Bremner, show us the deeds

Celtic’s Annual General Meeting, held at Celtic Park today, was a livelier event than usual.  The board received a hostile response to their refusal to back a resolution to provide all staff with at least the Living Wage.  Several impassioned points were made from the floor, which convinced chairman, Ian Bankier, to dispense with his prepared response and provide answers to specific questions.

The vote went against the resolution based on the proxy votes cast by the chairman but the board have never lost the floor so convincingly on any prior issue.

Resolution 12, encouraging the club to purse the game’s authorities on matters relating to the governance of liquidated Rangers was adjourned indefinitely by the requisitioners.  On proposing the adjournment, a spokesman for the requisitioners (our own Morrissey23) explained that they had met the club and received information not previously known, and that further meetings were planned.

Fergus McCann made an unexpected contribution to the AGM by email through the chairman, extoling the virtues of financial director, Eric Riley, who he commended for 19 years’ service in pursuing Celtic’s interests.  Fergus asked for, and got, an applause for Eric Riley, which resulted in the first unanimous show of hands to re-elect a director I have seen at a Celtic AGM.

AGM questions can be a tortuous affair but they were on the money this year.  We had poetry, questions about financial governance including a question as to whether the club owns all of it’s perceived property assets.  Ian Bankier confirmed it did, before planting his tongue in his cheek to insist “I’m not going to show you the deeds”.

When one shareholder expressed frustration that a new Scottish club is pretending to be a now liquidated club, chief executive, Peter Lawwell, retorted, “Rory Bremner can pretend to be Tony Blair”.

The resolution is not ” kicked into the grass” Celtic are saying ” listen here guys we got this covered, just back off, and let us handle it” that was more or less what they where saying before, as they didn’t want to tip there hand, but they let the guys who put the resolution know the score and put them in the picture and they seem happy, so any chance of letting the board get on with it sooner or later we will all find out what’s going on, so for the moment as far as I am concerned it’s getting sorted, although some will still want there dig at the board, it’s what they do, and why not.

    As i’ve said, I trust the 4 guys running with this are not going to easily have the wool pulled over their eyes, therefore I am giving the board the benefit of the doubt on this.

    I think it says more that they are actually allowed to use profanities on, as you say, the majority of posts.

     

    Fan blogs are now so powerful a voice that clubs have to take them seriously, and the more respectable these forums are, the more credence and weight they’ll be afforded.

     

    We can all swear and its very tempting sometimes to use the f word for effect. It obviously doesnt stop the bloggers of Deidco who cant/wont control thoughts as they transfer to keyboard.

     

    Perhaps RM and FF represent their club perfectly.

    You got it in one. I imagine the punters showing their attendance cards will be asked to behave with “dignity” since there will be another world record of rapt outside observers. They’ll also get a wee gentle reminder of some of the Easdales previous and then be on completely best behaviour. The SMSM will tell us of the happiness within and the diplomatic to table.

     

    However all PL bashing allowed with nothing off limits.

     

    It’s enough to make you even consider buying a single share to go along simply for the amusement.

     

    Then again there may not be an AGM.

    HMRC explain that said club was incorporated into company (same entity) that was liquidated

     

     

    so if your the same club we want our money and there are a list of creditors that want their money to

    sfa are a very small organisation that works within a much wider context of company law. the sfa don’t decide anything about this stuff so anything they say is irrelevant, unless they wish to change company law

    I support the living wage.

     

     

    Why does this or previous governments not endorse it then, rather than the minimum wage. If a business is struggling to support the uplift then why does the government not either make it mandatory or incentivise it? They end up paying for it through tax credits etc

     

     

    Don’t think you can say it is all about greed. The living wage is a relatively new body which has been brought in to shame both employers and government to remove unreasonable low pay rates, and who set these?

    The board at Celtic initially inferred that they would not back Resolution 12. Those who proposed it did so because they wanted to force/persuade the board to challenge the SFA and their granting of a license to the Huns.

    Please consider this and accept this as absolutely true. We are not making it up, dreaming it up or whatever.

     

     

    You did not need to persuade the board to challenge the SFA on the licence issue as they had already made a challenge as at December 2011. The sought clarification of the SFA, on behalf of the shareholders, as at that date on this and other matters. That is absolutely clear.

    Many who backed the proposal, and who provided votes etc, believed that the resolution would ultimately end in failure. However, they were content in the knowledge that their reservations would be given a public airing.

    If it was that the board had not challenged the SFA then as I have said above that was de facto done– and it was demonstrated that they had continued to challenge ( partly because of the resolution ) in 2013 The whole point of the adjournment and the very public undertaking given was so that they made it clear that WE– the people who brought the resolution— now had the opportunity to get into the room with them and persuade them that any further challenge should be done our way.

     

     

    Short of handing us a set of printed Celtic stationary and saying “Here you go boys, Peter will sign whatever letter you choose to write” we cannot have achieved any more to be honest.

     

     

    They will not let us write any further letters on their behalf ( no company would ) but they are up for considering all the evidence and arguments that we can bring to the table and to proceed from there.

    That ( The public airing ) hasn’t happened.

    I accept that there was no public discussion about whether the board had or had not challenged the SFA or the detail of that challenge and the response.

     

     

    The fact is that a challenge had been made which covered more than the areas mentioned in the resolution and a response given which in part was along the lines that all was ok as at 30th March 2011. However, no one has said that they are satisfied with that response, indeed Celtic PLC made further enquiries in reply, and we are being given the opportunity to influence yet further enquiries given what the SFA have said thus far.

     

     

    I– me personally— do not want to rehearse in public what the next step of the process should be in my opinion, or what the nature of the next enquiry should be as that would be counter productive. Also, in my opinion, there are another couple of lines to pursue which have essentially nothing to do with Celtic or the SFA or any other club– which are worth looking at before we go back to Celtic or anyone else.

    Without knowing what has taken place in the interim it would appear that the board have out maneouvered those who proposed the resolution.

    Q. Did the board bring the resolution?

     

     

    Q. Did the board vote out the resolution?

     

     

    Q. Was the resolution withdrawn?

     

     

    Q. What is the legal effect of an undertaking and a statement given by the board to the shareholders that is formally recorded in the minutes of a PLC?

     

     

    Q. Is that Undertaking of more effect than a similar undertaking and agreement that is sent in private via e-mail, given to one person and not to each and every shareholder of the company and upon which each and every shareholder has the right to rely?

     

     

    Q. Have the issues raised in the resolution “gone away”, or are they less active than last week? Or are they now actively being considered by the board of Celtic PLC?

     

     

    Q. Have Celtic PLC been able to, or been forced to, take steps which demonstrate that some of the fears outlined in the resolution ( namely that they had not challenged the SFA on issues ) are in fact unfounded.

     

     

    Q. Did you note the very precise terms of Morrisey23rd’s response to the comments of the chairman where he said “We accept YOUR invitation” to continue working WITH the board and “the undertaking given to continue the dialogue with the shareholders and supporters and to take the necessary steps to protect the interests of the club.”

     

     

    Again these are now part of the company recorded minutes — taken by professional minute takers— and which by law now form the official record of the events, agreements and so on which took place at the companies AGM.

     

     

    What happened yesterday was very formal, very transparent ( I realise it has to be explained ), very two sided……… and very very difficult to simply ignore.

     

     

    Now, if for some reason the board of Celtic PLC wish to — to be frank— Fanny about for want of a good old fashioned term —- then they are not going to be doing so from a position that is less onerous in terms of their undertaking and duty to the shareholders as those undertakings were formally strengthened in public.

     

     

    However, again I repeat- they challenged the SFA before, are willing to challenge them again only this time– before they do– we get some input.

    Absolutely…… I have always felt our Board were fully aware of what would happen to oldco, and now newco, and that they weren’t ‘interrupting the enemy’ ……. There is a bigger game to play here …… It’s called ‘the obliteration of evil’ ……. The license aspect is part of the jigsaw, and the pieces are all coming together nicely….the longer it goes on, the more difficult it will be to recover ANYTHING
