AGM report, Living Wage, Rory Bremner, show us the deeds

Celtic’s Annual General Meeting, held at Celtic Park today, was a livelier event than usual.  The board received a hostile response to their refusal to back a resolution to provide all staff with at least the Living Wage.  Several impassioned points were made from the floor, which convinced chairman, Ian Bankier, to dispense with his prepared response and provide answers to specific questions.

The vote went against the resolution based on the proxy votes cast by the chairman but the board have never lost the floor so convincingly on any prior issue.

Resolution 12, encouraging the club to purse the game’s authorities on matters relating to the governance of liquidated Rangers was adjourned indefinitely by the requisitioners.  On proposing the adjournment, a spokesman for the requisitioners (our own Morrissey23) explained that they had met the club and received information not previously known, and that further meetings were planned.

Fergus McCann made an unexpected contribution to the AGM by email through the chairman, extoling the virtues of financial director, Eric Riley, who he commended for 19 years’ service in pursuing Celtic’s interests.  Fergus asked for, and got, an applause for Eric Riley, which resulted in the first unanimous show of hands to re-elect a director I have seen at a Celtic AGM.

AGM questions can be a tortuous affair but they were on the money this year.  We had poetry, questions about financial governance including a question as to whether the club owns all of it’s perceived property assets.  Ian Bankier confirmed it did, before planting his tongue in his cheek to insist “I’m not going to show you the deeds”.

When one shareholder expressed frustration that a new Scottish club is pretending to be a now liquidated club, chief executive, Peter Lawwell, retorted, “Rory Bremner can pretend to be Tony Blair”.

    If the 47 Labour MPs hadn’t been paired and had turned up to vote, 47 Tories would have done likewise, and the result would have been the same.

    The significance of the remark would have been known and discussed long before it was made.

     

    The Rangers Group of Companies are on very shaky ground if they choose to pursue this and fine they know it.

    I had period of unemployment when I got 50 pounds a week

     

     

    I think the living wage is the right thing to do, but some of the people who are battering celtic about it would also be up in arms if we offloaded a player to pay for it

     

     

    I’d happily lose bangurra to pay for it. in fact I think we make to many young men very rich for very little.

    It was a frustrating performance in that he probably didn’t shine enough to disturb the established pecking order.

     

     

    He couldn’t really be faulted for either of the goals although on another occasion he might have saved one or other of them. Anything else he did he did well enough.

     

     

    The England team are over rated.

     

     

    Chile are a very good side.

    See the thing is I don’t see it like that, qiute the opposite in fact, Corporate and Insolvency Law is NOT Black and White – the SFA have a huge part to play in this.

     

     

    Take furinstance a Snooker Club…

     

     

    Fast Eddie’s Snooker Club – in fact.

    Now the club has several Snooker tables, a small cafe, a bar etc, etc

     

     

    It runs several in-house competitions and several teams Fast Eddie’s Men’s A, Fast Eddie’s Men’s B, Fast Eddie’s Womens Team, Fast Eddie’s Juniors etc, etc,

     

     

    Fast Eddie has become slow, his Club is running down, his savings are spent.

     

     

    Eddie (that’s what they call him these days) goes bust.

     

     

    The administrators come in, they look at the books of of the company that own the Club “Eddie Fast Limited”, they look at the creditors and debtors, they look at the value of the assets as a going concern vs break-up value.

     

     

    Now an entertainment firm conglomeration “Snooker Loopy Enterprises PLC” want to buy Fast Eddie’s keep it running and invest in the place.

     

     

    So the Administrators look at the proposal, look at what is best for the stakeholders, then sell.

     

     

    So the Club continues as before only legally it’s – Snooker Loopy Enterprises PLC – Trading As “Fast Eddie’s Snooker Club”

     

     

    Still above Woolies but with a new coat of paint, a spruced up cafe and cocktails at the Bar – “Under New Management” on the Entrance Doors.

     

     

    The in house competitions carry on as before, the Snooker Team carry on as before, in fact little has changed at the Club.

     

     

    But poor old Eddie’s Company is put into liquidation and he’s ruined.

     

     

    Though the Club carries on as before…

     

     

    I stand to be corrected but this scenario seems perfectly legal to me.

     

     

    Now when Rangers FC were going full tilt at the Iceberg many were trying to compare Rangers situation with any number of Football Clubs that had an insolvency event – Gretna, Third Lanark, Airdrie United, Leeds United, Fliorentina etc, etc.

     

     

    Now I said Southampton at the time, not because it was a mirror-image of Rangers, no the opposite.

     

     

     

    Now what Southhampton did was take the debt from the Company that owned the Club and put it with the parent Company, all very legit, then the parent Company went bust, leaving the Club and the Company that to carry on.

     

     

    Now although this was legal it certainly introduces moral hazard into Football, it was a Blue print for Football Clubs to shed their debt.

     

     

    The governing body, The English Football League in this case made it plain this was not acceptable and ensure the Football Club remained responsible for it’s debts.

     

     

    Same only different – You see Rangers claimed all the debt was with the Company that owned the Club, the Club and the parent Company were okay.

     

     

    Now with Rangers the SFA/SPL should have taken robust action like their English counter-parts, while the wheeler, dealers in the Rangers camp were negotiating in the geryness of Corporate/Insolvency Law the SFA had a duty to ensure the Football Rules and Regulations were adhered to, i.e. The debt built up by a Football Club can’t simply be siphoned to a Corporate entity leaving a Club debt free, although in certain circumstances this could be legal.

     

     

    As I say, Corporate/Insolvency Law is not black and white – It is up to the Footballing authorities to ensure, sporting and fiscal integrity is maintained within the game – it was the SFA that created this mess by failing at every turn to implement it’s rule book with regards Rangers.

     

     

    That’s my take, I’m happy to be corrected.

    Can’t see PL feeling the need to retract anything just because some jumped-up infiltrators in one of the lower leagues choose to feel all offended.

     

    The only time any further comment would be required would be if the footballing authorities decided to make an issue of it. Personally, Id love them to try.

     

     

    We have to put up with pages and pages and hours and hours of, quite frankly, pish from those in Ibrox and all their pals outside.

    i am sure under Scottish law the club vs. company debate is void in so far as once the club becomes incorporated it becomes one entity with the company.

     

     

    just because something has the same name and same property etc… does not make it the same entity

     

     

    so my father dies, we share the same name and i get his house, i move into his house, am i the same entity? clearly not. but i do have the same name and own the same/ assets.

     

     

    rangers fc are in liquidation, while rangers international fc are playing in the Scottish football league, that is two separate entities no?

     

     

    rangers international, akin to my birth certificate, have an individual company number, that is different from rangers fc.

    I was pleased with the progress made by Canamalar’s resolution. We knew that there was NO possibility of it being carried yesterday. It is now very much still on the agenda & will be addressed,.. not that I ever thought that the club was not already addressing it at every opportunity. No matter. Resolution 12 has again turned the spotlight on the issue.

     

    Well done Canamalar, Morrissey23, Auldheid & any others who worked so diligently to break down the apathy that first appeared to be the CQN mood on this important struggle.

     

    Likewise the passion of Jeanette & the Celtic Trust guys which ensured that our board will have to have a rethink on the surely achievable Living Wage resolution.

     

    They were only small steps but every journey starts with one small step.

     

     

    My limited social skills meant that I did not meet as many CQNers as I might have at The Phoenix, but did manage to have a word with Morrissey23, Frantic67 & ACGR. Thanks, guys.

  24. Back in Glasgow last nite and had dinner with some friends including a couple of ibrox club fans. The chat turned to Pedros quip and they were cool with it. They preferred that response rather than they are a new club ( which they more or less accept ).

     

     

    Of course the foaming at the mouth types ( like “journos” chris jack and Matthew Lindsay ) will encourage the knuckle daggers in their no surrender approach.

     

     

    Good to enjoy their pain.

     

     

    I will enjoy every minute of the tribute club act before it crashes on the rocks too.

  26. I can understand some disappointment about there being no debate at the AGM on Res12 but remember what it asked for.

     

    In short for UEFA CFCB to investigate SFA’s implementation of UEFA licencing regarding qualification, administration and granting of licenses to play in UEFA competition.

     

    Well the reality is that having made enquiries of the SFA and received answers there was nothing to investigate regarding the granting aspect ( and I should know if there had been anything on that front to query – which is part of The Crystal Myth story on On Fields of Green) so in that particular respect there was nothing to investigate and no point going to UEFA to get that confirmed.

     

    However there still was the question on monitoring thereafter and possible SFA improper governance in that respect and that, as BRTH has explained , is still to be probed to satisfy shareholders nothing improper by SFA or Rangers took place.

     

     

    The adjournment which Celtic agreed with rather than vote against, allows that to happen and if anyone thinks that having clung on this far further attempts to get at the truth will not be followed up then they must have been scrolling by my posts over the past 3 years.

     

     

    Perhaps an unforeseen consequence of the outcome at this stage is some reappraisal of the intentions, motivations and trustworthiness of the Celtic Board is being brought to the fore and that is difficult to accept if doubt has been the default position.

     

     

    I am not saying Celtic’s response is evidence of total trustworthiness but in the respect of Res 12 it was in many ways for me a test and I believe they passed it.

    I appreciate the response. I also note PL’s quote to the press post AGM ‘the matter is now off the agenda’. That may be playing to the pack but it is at odds with taking things further, together or otherwise.

     

     

    I will await progress with interest. Let’s hope the fishermen don’t return to the village empty handed after putting all their nets in with the Russian Trawler.

  30. Auldheid, yesterday you told me I wasn’t being asked to take things on trust regarding why the resolution was adjourned. You said an email would be going out to those who backed the resolution by giving their proxy and this would explain the details that couldn’t be put on a public forum. Also the process going forward, when meetings will happen, what the agenda for those will be, will we be informed of the outcomes?

     

    I have asked a couple of times now, can you confirm this email will be sent out?

     

    Can you give an indication of when?

     

    If it is not to be sent could I ask why?
