Tannadice the scene for Cup quarter final

On Saturday my mind wandered, as it does, to the demise of Gretna in 2008.  The village team were bankrolled through the Scottish league system until promotion to the SPL in 2007 but then the cash ran out.  The club went into liquidation a few weeks from the end of the season but while most of the first team squad were made redundant, a few remained on a week-to-week basis to see out the remaining league programme, assisted considerably by the SPL and Livingston FC, who made their ground available.

Should Rangers fail around the same time, I thought, how apt it would be for us to meet them in the Scottish Cup final.  We would be there at the end to wave goodbye to a unique institution.  Witnesses to the final whistle on a club with an enormously controversial history.

Unfortunately, my hopes were dashed by Dundee United at Ibrox yesterday, who Flushed Away the opposition and won their first game against an SPL team in 2012.  We will have to scramble for tickets for the prospective event at another venue.

United seem set to try their hardest to spoil my enjoyment of the Cup.  Our quarter final draw against them next month will be one of the toughest games of the season.

At one stage I feared I would not be successful when I ran out of sparklecream when I reached the posterior area of your future colossal statue outside of new parkhead during my last test and feared my promotion would be in jeopardy. Gladly, thanks to my cranial intellect of 735 I remembered an ‘old wives tale’ whatever that is and saved my promotion by using saliva and my elbow grease to shine the area of the statue. In even happier news, you will be glad to learn that your left butt cheek has been recognised as a landmark in New Glasgow due to its vibrant red shine.

  9. Clearly one of two things is happening – or it could be both.

     

     

    Craig Whyte is the fall guy, to be the man who shut the huns down. Now this could be to protect Murray and whatever reputation he has left, or it could be to position a grouping to take over at some stage. Or, as I said, maybe both.

     

     

    My question is, does it really matter to us who gets the blame? There is more than enough to go around when Liquidation Day finally comes.

  19. For years now the permutations have seemed limited – RFC are bust, the huge over-valuation of Ibrox in their accounts has had them trading insolvent for many a year – it was only a question of when.

     

     

    Now that the endgame approaches we are seeing the emergence of competing factions, and hence the willingness to ‘be honest’ about the straitened circumstances of RFC at first seems refreshing, but upon reflection may be supportive of other agendums…(usage/sp?)

    Rangers interim accounts to end Dec 2010.. £5.22 million

     

     

    Rangers unaudited accounts to end June 2011….£9 million

     

     

    So, the net Cash position improved by £4 million in this 6 month period. Thats hardly what you would expect with a cash injection of £24 million from Ticketus, and Whyte having paid off the overdraft..

     

     

    This suggests very strongly that the Ticketus money was not paid to Rangers , but in fact to one of Whyte’s companies, very probably RFC Group.

     

     

    This then leads in my mind to a interesting question, which is the rights of minority shareholders. If , and I accept it is still IF at this stage, Whyte has personally received fund against assets or future revenue streams belonging to Rangers, then he has effectively marginalized (or worse) the minority shareholders.

     

     

    Minority shareholders are protected by law, In particular I believe The Companies Act 2006 enshrines the shareholders rights over important decisions such as large asset sales. My view is that a long term contract such as the one entered into by Whyte with Ticketus is a de facto asset sale and requires shareholder approval.

     

     

    Should Whyte have helped himself to this revenue stream for his personal benefit, then this may be a more serious matter

     

     

    Let me give you the legal position as described by Mondaq.

     

    Directors have a duty to declare to the board the nature and extent of any interest, direct and indirect, in any proposed transaction or arrangement with the company. It is important to note that the director need not be a party to the transaction for this duty to apply; if the director has an interest in someone else so transacting, he must notify the board.

     

     

    However, no declaration is necessary if:

     

     

    the director is not aware of his interest or of the transaction (but this is subject to a reasonableness test);

     

    the interest cannot reasonably be seen as giving rise to a conflict of interest or if the other directors are already aware of it; or

     

    the director is the only director of the company.

     

    The director owes his duties to the company, and only the company will be able to enforce them, but shareholders may be able to bring a derivative action on the company’s behalf.

     

     

    Procedure for declaring an interest

     

     

    The declaration must be made before the company enters into the transaction or arrangement and may be made:

     

     

    at a meeting of the directors; or

     

    by notice in writing to the other directors.

     

    If this declaration of interest proves to be, or becomes, inaccurate or incomplete, a further declaration must be made.

     

     

    my take is that Whyte should have written to all Directors prior to the Ticketus deal. The Record said the Ticketus deal happened in early May. That is also my understanding.

     

     

    Those Directors who should have been written to at that time included Martin Bain, Alastair Johnston, Paul Murrayand Donald Mcintyre. They also included John Greig and John McLelland.

     

     

    An enterprising journalist may want to ask any or all of these gentlemen when they first learned of this transaction.

    Indeed, there was no John Pilger or even a Mark Daly because there was no will, to investigate.

     

     

    But the BBC, STV et all, are still hopeful and in active pursuit of a miraculous outcome, and how does the deposition of Craig Whyte

     

    fit the agenda? You’ll notice he’s struggling already (17,722) and is quick to add “a witch hunt against him and Rangers FC” trying to keep

    Now if they lose the tax case, and are hit with a large bill, minty will have been proven to be a tax fraudster, and if then there is a clamour for the sir thing to be taken off him, I can then see that the press may well go after him, but none of this will eminate from scotland, it will be the english media and politicos who will drive it.

     

     

    The more I think about things re the tax case, the more I hope they are only hit with a small bill.

     

     

    A small bill will keep them strapped for years, they are already skinto, they have a huge defecit which they can not service and stay competitive, they have sold off all their income streams, they have mortgaged half of the next 3-4 season ticket money, they will have to get their top earners off the wage bill etc.etc.

     

     

    A big bill will see them liquidated, a newhunco will emerge from the sewer debt free, they will be free to start up their income streams, like the cattering and the merchandising again, realising a good income stream, their season ticket money will be their own.

     

     

    And by the looks of it they may get an invite into the spl.

     

     

    Choices, choices.

    An angle: Murray sells his debts for a pound, engineers the fall of their saviour Whyte, the club goes bust and in he comes, the whitewashed knight to ressurect Zombie Huns FC, refinance them on a more stable basis and begin again with no debt. All liability swallowed by Whyte’s vehicles and the old Rangers Co.

     

     

    Another angle on the above: Whyte was in on it all along with Minty, did his job of scutling the ship, and gets a nice pay-off to fu-cough back to Monaco forever and a day.
