AGM report, Living Wage, Rory Bremner, show us the deeds

Celtic’s Annual General Meeting, held at Celtic Park today, was a livelier event than usual.  The board received a hostile response to their refusal to back a resolution to provide all staff with at least the Living Wage.  Several impassioned points were made from the floor, which convinced chairman, Ian Bankier, to dispense with his prepared response and provide answers to specific questions.

The vote went against the resolution based on the proxy votes cast by the chairman but the board have never lost the floor so convincingly on any prior issue.

Resolution 12, encouraging the club to purse the game’s authorities on matters relating to the governance of liquidated Rangers was adjourned indefinitely by the requisitioners.  On proposing the adjournment, a spokesman for the requisitioners (our own Morrissey23) explained that they had met the club and received information not previously known, and that further meetings were planned.

Fergus McCann made an unexpected contribution to the AGM by email through the chairman, extoling the virtues of financial director, Eric Riley, who he commended for 19 years’ service in pursuing Celtic’s interests.  Fergus asked for, and got, an applause for Eric Riley, which resulted in the first unanimous show of hands to re-elect a director I have seen at a Celtic AGM.

AGM questions can be a tortuous affair but they were on the money this year.  We had poetry, questions about financial governance including a question as to whether the club owns all of it’s perceived property assets.  Ian Bankier confirmed it did, before planting his tongue in his cheek to insist “I’m not going to show you the deeds”.

When one shareholder expressed frustration that a new Scottish club is pretending to be a now liquidated club, chief executive, Peter Lawwell, retorted, “Rory Bremner can pretend to be Tony Blair”.

    With respect, I don’t think that is what happened today. One person, Canamalar, rose to the kind of challenge you throw out and crafted a possible resolution, canvassed for support and got that (amongst much ridicule on here). What happened today (in his absence) saw others getting involved that led to a ‘compromise deal’ negotiated and offered up, now being offered as ‘good news’.

     

     

    However, there is still no ‘public’ debate on the ‘fix’ that occurred in 2011. We are told it is ‘secret’ good news and to remain faithful.

    My standing on the resolution…the msm were waiting like vultures for it to be blown out of the water.

     

    Morrisey did a grand job.

    I think the PLC could have dismissed this quickly by weight of votes, they didn’t.

     

    That is hugely significant.

     

    This has a long way to go.

     

    I do, of course, still want details.

    I believe it has already. Results notwithstanding so far. Are you suggesting that some malfeasance is afoot to prevent Celtic revealing to the public its vision? Or is its vision no so much win the European cup by 2019 as some have claimed here on CQN but to “gee the huns a doing” sometime soon?

    Note all you say but in the history of Celtic PLC every single non board proposed motion has been voted down– until today!

     

     

    Granted Res 12 was not passed, but if the purpose of the resolution was to establish whether or not the board had taken certain matters up with the SFA then the resolution hit the target because as a result of the resolution the board did indeed disclose that they had and we can report back that this happened for certain.

     

     

    Further, they ( Celtic PLC ) prized a formal response from the SFA in reply to certain questions which were asked as a result of Auld heid’s prompting.

     

     

    The question now is whether we can nail the argument that those responses are bullshit and deflection. It will mean further engagement with the board, consideration of the official SFA stance, setting out our arguments and evidence before the board or its representatives, persuading them that there is sufficient ammunition to take the matter further and so on.

     

     

    According to the formal minutes of the Annual General Meeting of Celtic PLC the board today:

     

     

    1. Introduced the resolution.

     

     

    2. Reported to the meeting that there had been developments re the resolution and that meetings had taken place between the requisitioners and the board which had been very helpful in helping the board understand the concerns of the shareholders.

     

     

    3. Further declared that the meetings had also established a line of communication between the shareholders and the board through the Company Secretary.

     

     

    4. Declared that the board take seriously the concerns expressed by the shareholders and reiterate their undertaking to at all times protect the interests of the shareholders to progress the clubs policy of conducting its business on a “stand alone” basis.

     

     

    5. The board also committed to further discussion and engagement with the shareholders going forward.

     

     

    6. On that basis, proposed that Res 12 be adjourned indefinitely.

     

     

    In response, Morrisey23rd read out the following statement which was also formally recorded in the minutes:

     

     

    Good Afternoon Mr Chairman.

     

     

    I can confirm to the meeting that there have been purposeful meetings

     

    with the company and that we have had very fruitful discussions

     

    which have satisfied some of the concerns that brought about this

     

    resolution. In particular we are pleased that the company

     

    have seen the benefit of having those discussions and especially note

     

    the undertaking given to continue the dialogue with

     

    the shareholders and supporters and to take the necessary steps to

     

    protect the interests of the club.

     

     

    We will continue to liaise with and correspond through the company

     

    secretary as discussed, and are pleased to accept the

     

    invitation to continue those discussions going forward..

     

     

    Under those circumstances we are happy to recommend that the resolution

     

    simply be adjourned as you have suggested.

     

     

    Can I just thank the board for engaging in this process and we look

     

    forward working with you on these matters in the future

     

    and can I take this opportunity to thank all of those who supported and

     

    helped with the resolution ”

     

     

    The resolution was neither withdrawn nor ditched.

     

     

    The resolution was not rejected or refused– in the end, the motion having been proposed and having made its way on to the agenda, no one said a single owrd against it.

     

     

    Instead it was simply adjourned.

     

     

    All of the words contained within the resolution ( and it is a detailed resolution with lots of parts to it ) remain the subject of the continued meetings and discussions that have been formally noted.

     

     

    Further note the commitment that was given by the board about protecting the interests of company ( shareholders ) which was again formally minuted.

     

     

    The Board of Celtic PLC was not the target of the resolution– they are merely the route to the target as the formal body which is a member of The SFA.

     

     

    The tactics today did not bind the board to the rigid ( possibly on reflection too rigid ) wording of the resolution– which if passed would have been binding on them leaving them no option but to do exactly what the resolution says as opposed to allowing them to negotiate with and through the SFA should the opportunity arise.

     

     

    At the same time, nothing that happened today prevents the route to the SFA through Celtic PLC. In fact quite the contrary– Celtic PLC have agreed to meet and discuss the possibility of taking these matters further and, as the chairman stated, saw the benefit of the discussions and formally confirmed that the board took the position outlined by the shareholders very seriously.

     

     

    That is not where the board started from.

     

     

    Two last points.

     

     

    Remember that it was immediately after that resolution was adjourned with the full resolution in tact — including the items numbered 1-4 — that a lady stood at the microphone and expressed her dissatisfaction about certain matters which in turn prompted the Bremner comment.

     

     

    Finally– after the AGM– someone who had been sitting on the stage approached Morrisey apparently and simply said to him:

     

     

    “Keep going with that!”

     

     

    I don’t know who that was but he will be able to elaborate on the conversation.

    As someone who posted back their season ticket 2 years ago maybe I don’t really have a say, if however the club had been more vocal, they would have had my support.

    Lawells comment should be treated as another squirrel by Rangers fans instead he becomes the enemy once again, everyone but the spivs inside Ibrox get the blame and the threats.

     

     

    They deserve everything thats coming and more.

     

    Maybe there kids wont accept Santa bringing a share certificate 2 years in a row.

    He mentioned earlier that those who had backed the resolution would be emailed with details, can you confirm this, and give us a estimated time for that?
