TRFC submit incomplete Annual Return

Companies House published the long overdue Annual Return for The Rangers Football Club Ltd (previously Sevco Scotland Ltd) today.  Although only received by Companies House yesterday (12 Sep 13) it was dated 29th May 2013, however, the submission was incomplete.

A company is required to detail all their shareholders since their previous Annual Return (or as in this instance, since formation).  Companies House say the Annual Return must detail “the name of every shareholder (or joint-shareholders) who has ceased to be a shareholder since the made-up date of the previous annual return (or in the case of a first return, since the incorporation of the company)”.

The only shareholder detailed on this Annual Return is Rangers International Football Club PLC (RIFC PLC).  RIFC PLC was not formed until 16 November 2012, nearly four months after Sevco Scotland Ltd was formed, so could not have been a founding shareholder.

And there’s more…….

The Rangers Football Club Ltd issued a Statement of Capital to Companies House, dated 31 October 2012, showing the same number of shares in issue as this Annual Return (33,415,200), some two weeks before Rangers International was formed.  The Statement of Capital was submitted by Caroline Nicholls of Field Fisher Waterhouse LLP, who should be in a position to assist the directors.

I’d never really given any consideration to who owned Sevco Scotland Ltd  prior to the shares being consumed by Rangers International, but this omission is curious.  The story will move on now with auditors Deloittes taking centre stage.  They have plenty on their plate prior to signing off the PLC’s accounts so may be happy to turn a blind eye to the reporting requirements of a subsidiary company.  Companies House already have an active issue over submissions for Sevco 5088 Ltd, it remains to be seen whether this one passes below the radar.

This is all so unnecessary as I am sure the correct information would be perfectly appropriate and in good order.

Can you imagine what we would be doing if our ‘club’ was being run in this manner?  This story is being played out while all those who should be asking questions are being distracted by a player betting against his own club!

In the grand scheme of things it doesn’t matter if Ian Black hedges against himself, or what embarrassingly light punishment he receives.  The real story is so much bigger, it is being written in large type, visible from the moon landings, but the football authorities appear happy to stand back and let events take their course.

No looks of surprise next time around – from anyone.

  4. Why Do I Bother? on

    Many posters on this blog frequently refer to the ‘true blue’ Sevconian faithful as, shall we say, ‘of lesser intelligence’.

     

    One can easily understand this by simply examining how these faithful fans have responded to events associated with the demise of their once great club, RFCil.

     

    To the objective observer, the demise of RFCil is wholly due to the actions of the clubs officials and to a large degree, those same faithful fans who exhorted the spend, spend, spend policy of the Murray era.

     

    To date, only one club official has attracted the wrath of the fans, still in mourning after their once mighty club’s fall from ‘grace’, that is Craig Whyte.

     

    He is held wholly to blame for everything that has befallen the club he purchased for the substantial sum of one pound.

     

    Despite all of the information widely available on the Internet which clearly indicates that Sir David Murray is the man who drove the club to financial ruin and then dumped the club and his own responsibility, for that same pound, remarkably, SDM remains untouchable. He brought back the glory days to the club and for that the fans look on him as their god. A man who can do no wrong.

     

    The loyal, no surrender (a motto which they certainly have taken to heart) fans continue to choose to turn their wrath on those who have truly damaged their club.

     

    Journalist such as Phil Mac Giolla Bhain, Alex Thomson, Mark Daly and now of course Jim Spence.

     

    The only power these people have is to speak out. None of these journalists played any part in running up the millions in debt accrued at RFCil under the SDM era.

     

    Yet they are the subject of death threats, not SDM.

     

     

    To the true blue Sevconian, it is the person who dares utter a word, by voice or print, who is the real culprit. Such people are responsible for the pain the Sevconians are suffering.

     

     

    Whilst I agree that there are some Sevconians who could be construed as ‘of lower intelligence’, in my opinion, most are not.

     

    But what they do all have in common is a blindness to their own.

     

     

    They turn a blind eye to the violence and intimidation used by their ‘brothers’.

     

    They turn a blind eye to the corruption at the heart of their club.

     

    They turn a blind eye to the blatant disregard for the rules which are there to ensure all clubs are treated equally.

     

    They turn a blind eye whenever referees make ‘honest mistakes’ which just happen to come out in favour of their club.

     

    They turn a blind eye to their own ‘misdemeanors’.

     

     

    The pain they are suffering must seem unendurable but let’s be honest here, look around the world, does the fate of a football club matter in the slightest?

     

    When you see yet another body being dragged off the streets in Syria, Iraq, Afghanistan or many other strife-torn parts of the world, do you ever stop to consider just how insignificant your pain is?

     

    Whilst I can understand the rage many feel witnessing the bloody massacres of their fellow countrymen, I will never understand why anyone can be the target of death threats simply for expressing an opinion about an organisation whose core activity is 11 men kicking a ball around a field.

     

     

    The fact that many of the prominent officials in Scottish society turn a blind eye to such intimidatory actions, some may even be behind them, is a very sad reflection on Scotland as a whole and for me, does not engender a desire to vote (not that I have one) in favour of giving these same officials total power.

And funnily enough, the same was on my mind today re Craigy Whyte – he seems to be the least guilty from a hun perspective out of the lot of them, which is interesting when considered along with the complete disregard of the existence of SDM in the MSM. Some spivs should consider the notion that JI can be working for more than one person at the one time, and money talks. Who’s the big player who was responsible for £1000M of BOS (and ultimately, taxpayers’) cash…

    Think you’ll find there is. I’ve worked offshore there on numerous occasions and Pointe Noire is becoming a major shipping hub for the region…….coast and interior. Still a dump but it pays my mortgage (occasionally) and its came on a lot since around 1990.

    Ajax are probably on a par with us but without that “thing” we got going on at home.

     

     

    If we are cute and very professional until the final whistle blows….theres at least 3 away points for the taking……..the rest is up to us.

     

     

    Some people may just get the fright of their lives if Biton, VVD and Teemu step up to the plate in the manner I believe they can.

    This game against Hertz is absolutely massive to determine just how quickly the new Celts have gelled. We will need a humungous effort to get the 3 points away from the San Siro and I think we Will get them as long as we don’t lose any players today.

    Balotelli is a big concern for us v AC Milan – hopefully, he’ll have one of his off days. Another way of looking at is, if he scores once at Paradise, then that means we will be scoring twice, in which case,, a 2-1 Celtic win might be a very shrewd bet ! :)))
